What is the EU Foreign Subsidies Regulation?

The FSR requires companies engaged in M&A transactions with a significant EU nexus (EUR500M+ target/JV revenues) and significant EU public tenders (EUR250M+ value) to notify the EU Commission of non-EU “foreign financial contributions,” a new concept encompassing a wide range of interactions with non-EU government bodies and public and private entities attributable to such governments.

What practical challenges will multinationals face?

Complying with the FSR framework raises legal and technical challenges. Foreign financial contributions are not tracked by existing reporting systems. Financial contribution data must be collected from diverse teams and business units on a consistent basis. Many questions arise as team members seek to identify and quantify financial contributions; they will need access to prompt and reliable legal guidance.

Legal expertise

Our lawyers have extensive practical experience applying the new regulatory requirements to clients’ diverse business situations and have worked closely with our Digital Solutions team to develop an interactive platform to streamline the collection of required information across multiple business lines and jurisdictions.

When a notification is required, our legal team’s deep background knowledge on the origins and purpose of the Foreign Subsidies Regulation and experience with its implementation make us uniquely well placed to assist multinationals in drafting notifications and obtaining speedy approvals.

How the NRF Foreign Subsidies Solution works

Our platform ensures consistent, centralized FFC data collection from team members across your business. Team members can easily clarify legal queries via the inbuilt Q&A workflow, tracking questions, responses and comments for each FFC entry.

Team leads can monitor the progress of data gathering for completeness and consistency. Information on the platform can be updated, and data can be analysed, aggregated and exported, as required.

Subject to your requirements, we can create granular permissions to ensure users only view and edit information they should access.
