Biography
William Provencher-Campeau's practice covers all aspects of corporate and commercial law, with a focus on mergers and acquisitions and securities matters. He also regularly advises a number of Canadian public companies on continuous disclosure obligations, corporate governance issues and other ongoing securities law questions.
William earned his bachelor of laws and master of business administration degrees from University of Sherbrooke (cooperative program). During his university studies, he articled with a large Canadian bank and has been working at our Montreal office since 2016.

William has acted in the following matters:
- The special committee of the board of directors of Nuvei Corporation in its review of strategic alternatives leading to the execution of a definitive agreement to be taken private by Advent International LP alongside certain existing shareholders in a US$6.3 billion all-cash transaction
- Caisse de dépôt et placement du Québec in (i) its joint acquisition of QSL International Ltd. with iCON Infrastructure LLP, (ii) together with OMERS and Healthcare of Ontario Pension Plan, as investors, a private placement of common shares of Bank of Montreal for aggregate gross proceeds of C$1 billion, which was completed as part of a global C$2.6 billion offering of common shares by Bank of Montreal, and (iii) various minority equity investments.
- H2O Innovation Inc. in its C$395 million going-private transaction with Ember SPV I Purchaser Inc., an entity controlled by funds managed by New York-based private equity firm Ember Infrastructure Management, LP, which was effected by way of a statutory plan of arrangement under the Canada Business Corporations Act
- OpSens Inc. in its C$345 million going-private transaction with Haemonetics Corporation, which was effected by way of a statutory plan of arrangement under the Business Corporations Act (Québec)
- Coveo Solutions Inc. in (i) its C$247 million initial public offering of subordinate voting shares and concurrent private placement, (ii) its substantial issuer bids, and (iii) its acquisition of UK-based Qubit Digital Ltd.
- HEXO Corp. in (i) its going-private transaction with Tilray Brands, Inc., as well as (ii) its previous acquisitions, by way of plans of arrangement, of all of the issued and outstanding shares of (A) TSX-listed Zenabis Global Inc., in an all-share transaction valued at approximately C$235 million, and (B) TSX-V-listed 48North Cannabis Corp., in an all-share transaction valued at approximately C$50 million
- Le Club Piscine Plus Québec C.P.P.Q. Inc., Pioneer Distribution Inc. and Pool Supplies Canada Inc. in the sale of all of their issued and outstanding shares to Fulcrum Capital Partners
- The special committee of the board of directors of Transat A.T. in its review of strategic alternatives leading to, notably, the execution of arrangement agreements with Air Canada
- Investissement Québec in its joint 50-50 acquisition with The Pallinghurst Group of Nemaska Lithium Inc. pursuant to a sales process under the Companies' Creditors Arrangement Act. The acquisition was structured as a credit bid with Nemaska's largest secured creditor, and achieved through a reverse vesting order granted by the Superior Court of Québec and upheld by the Québec Court of Appeal
- Various issuers and syndicates of agents/underwriters in connection with numerous debt and equity offerings of issuers such as Metro Inc., SNC-Lavalin Group Inc., Énergir, L.P., Boralex Inc. and Bellus Health Inc.
