Biography
Eric Reither’s practice focuses on corporate and securities law, with a particular emphasis on mergers and acquisitions and on covered bond transactions. He has acted for domestic and international clients on a wide range of acquisitions, divestitures, take-over bids, mergers, strategic alliances, joint ventures, shareholder and partnership arrangements and corporate reorganizations.
Eric has also advised issuers and underwriters in connection with the establishment and registration of covered bond programs by Canadian financial institutions and related domestic and international offerings, including advising the issuer in connection with the first issuance of covered bonds by a Canadian financial institution, the first issuance of covered bonds by a Canadian financial institution under a program registered under Canada’s covered bond legislative framework and the first issuance of covered bonds ever registered with the Securities and Exchange Commission.
Prior to being called to the bar, he clerked at the Court of Appeal for Ontario, was gold medallist in law at the University of Windsor and placed in the top 25 overall in the bar exams, receiving awards for the highest standing in business law.

Eric acted recently for the following clients:
- Nortel in its multijurisdictional insolvency proceedings, including its agreement to sell its global Carrier VoIP and Application Solutions business to GENBAND
- Royal Bank of Canada with the US$1.5 billion offering of covered bonds under Rule 144A in the United States, on a private placement basis in Canada, and in Europe
- Royal Bank of Canada with the offering in Canada of covered bonds in an aggregate amount of $850 million due March 16, 2015
- Royal Bank of Canada with the offering in Canada of covered bonds in an aggregate amount of $750 million, which closed on November 10, 2009
- Nortel in the sale of its Layer 4-7 Data Portfolio through a stalking horse sales process under the Companies’ Creditors Arrangement Act and Chapter 11 in the United States
- Nortel in its ongoing cross-border restructuring
- Royal Bank of Canada in connection with the launch of its €15 billion covered bond program and its initial €2 billion and €1.25 billion issuances under the program. The program was the first of its kind in Canada and was recognized as deal of the year for Canada in 2008 by The Banker, a leading international financial publication
- Caisse de dépôt et placement du Québec in connection with the restructuring of the approximately $32 billion third-party asset-backed commercial paper market in Canada
- Royal Bank of Canada in its acquisition of ABN AMRO Bank NV’s Canadian commercial leasing division
- Hochschild Mining plc, a South American-based LSE-listed company, in connection with its two‑step $144 million strategic investment in Lake Shore Gold Corp., a TSX-listed company
