Biography
Jordan Padover is a Senior Counsel in the firm's New York office. His practice focuses on a wide variety of complex financing transactions, including leveraged financings, acquisition financings, project financings and other corporate lending transactions, as well as workouts and other restructurings. He has experience representing commercial and investment banks and other financial institutions, as well as companies and private equity sponsors.
As counsel for agents, lenders and lead arrangers as well as borrowers and other loan parties, Jordan is actively involved in all aspects of deal structuring and execution, including drafting and negotiating legal documentation. He advises clients on first lien and second liens, unitranches, mezzanine and subordinated financings, including cash flow as well as asset-based transactions. Jordan has extensive experience working on a broad range of deal sizes across a wide range of industries, including broadly syndicated facilities, direct lending and private credit arrangements, club and bilateral transactions. He has represented clients in connection with leveraged buyouts, acquisitions, repricings, refinancings, incremental add-ons, maturity extensions, as well as additions and releases of collateral.
Jordan quarterbacks multiple deals concurrently, navigating challenging issues encountered in grids and term sheets, engagement and commitment letters, definitive documentation and post-closing matters. He works in conjunction with experts in other practice groups at the firm, and coordinates with local counsel in connection with both domestic and cross-border businesses.
Prior to joining the firm, Jordan was an associate in the global finance group in the New York office of another international law firm. He is also a former senior vice president in the debt capital markets group of a large multinational independent investment bank and financial services company, where he sat directly with the investment bankers, focused on material issues related to commitments and risk, and advised on deal strategy, structuring, syndication, negotiation and execution.
