Biography

Pierre-Olivier Valiquette's practice is transaction oriented, with a particular focus on securities law and mergers and acquisitions.

He has extensive experience in mergers and acquisitions transactions in various industries, acting for both buyers and sellers in public and private transactions. He also acts in Canadian and cross-border offerings and private placements on behalf of issuers and underwriters. Furthermore, he regularly advises a number of Canadian public companies on continuous disclosure obligations, corporate governance issues and other ongoing securities law questions.

In recent years, Pierre-Olivier has also acted for several mining issuers and has developed a deep understanding of the legal issues and challenges faced by such companies.

Mergers & Acquisitions and Corporate Matters

  • Turquoise Hill Resources Ltd., owner of the Oyu Tolgoi copper and gold mine in Mongolia, on its C$4.3 billion going private acquisition by its controlling shareholder, Rio Tinto plc, by way of a Yukon plan of arrangement
  • SRG Mining Inc. (now Falcon Energy Materials plc) in its redomiciliation from Canada to the jurisdiction of the Abu Dhabi Global Market in the United Arab Emirates
  • Solutions Beyond Technologies Inc. in the sale of all of its issued and outstanding shares to Syntax Systems
  • Le Club Piscine Plus Québec C.P.P.Q. Inc., Pioneer Distribution Inc. and Pool Supplies Canada Inc. in the sale of all of their issued and outstanding shares to Fulcrum Capital Partners
  • Investissement Québec, a major shareholder of Blackrock Metals Inc., in a reverse takeover whereby Blackrock Metals Inc. completed the acquisition of Strategic Resources Inc.
  • BlueFocus Intelligent Communications Group, a Chinese public company, in connection with the sale of a majority stake in its international group of marketing and advertising agencies, comprised of Cossette, Eleven, Citizen Relations, We Are Social and fuseproject, to a joint venture composed of CVC Capital Partners and Caisse de dépôt et placement du Québec, and the rebranding of that group as Plus Company
  • Germain Lamonde, the founder and controlling shareholder of EXFO Inc., in the successful privatization of EXFO Inc. for US$6.25 per share for a transaction value of C$600 million

Corporate Finance

  • Patriot Battery Metals Inc., a hard-rock lithium exploration company, in connection with (i) a private placement to Albemarle Corporation for total gross proceeds of approximately C$109 million and (ii) a primary private placement of flow-through shares for total gross proceeds of approximately C$75 million, followed by a secondary sale in various jurisdictions, including Canada, the United States and Australia
  • Issuers and syndicates of underwriters and agents in various public and private Canadian, cross-border and international offerings of debt and equity, including offerings by Dollarama Inc., Canadian National Railway Company, BELLUS Health Inc. and Savaria Corporation
  • Taiga Motors Corporation in connection with an extensive review of various options and alternatives by a special committee of independent members of the board of directors, culminating in the completion of a private placement of 10% secured convertible debentures maturing on March 31, 2028, in an aggregate principal amount of C$40.15 million, with the investors having been granted an option to acquire an additional C$10 million of debentures
