Biography

Karolina Majcher is a banking and finance lawyer based in Warsaw. She focuses her practice on project finance, real estate finance and general banking transactions.

Prior to joining the firm in December 2020, Karolina was a member of the Warsaw banking and finance team of an international law firm.

  • Advising one of the largest syndicates formed this year (Bank Polska Kasa Opieki S.A, mBank S.A, ING Bank Śląski S.A, Santander Bank Polska S.A, BNP Paribas Bank Polska S.A, Powszechna Kasa Oszczędności Bank Polski S.A) by domestic financial institutions on a complex transaction involving financing up to PLN 1,5 bn (EUR 325 m) for Polish, Russian, Romanian, Ukrainian and German companies from Cersanit Group. The Warsaw team drafted and negotiated complex financial documentation and coordinated cooperation with Norton Rose Fulbright's Frankfurt office and other law firms from Romania, Russia and Ukraine.
  • Advising Powszechna Kasa Oszczędności Bank Polski S.A., Bank Polska Kasa Opieki S.A., BNP Paribas Bank Polska S.A., Santander Bank PolskaS.A. and ING Bank Śląski S.A. as original lenders, on the EUR 500 m revolving facilities made available to companies from the SYNTHOS Group incorporated in Poland and Czech Republic. The loan facilities were used to finance the working capital needs of the SYNTHOS Group.
  • Advising BNP Paribas Bank Polska S.A. as facility agent and Powszechna Kasa Oszczędności Bank Polski S.A., Santander Bank Polska S.A. and European Bank of Reconstruction and Development as lenders on unsecured financing for Zakłady Farmaceutyczne Polpharma S.A. The funds will be used for the purpose refinancing, financing of capex and working capital requirements and the financing of green economy transition investments.
  • Advising a consortium formed by domestic and international financial institutions on structuring and financing of senior secured facilities for a newly established joint venture of Orange Polska S.A. and an investor controlled by APG, one of the world's largest pension investors. The total value of the financing was equal to PLN 3.15 billion (EUR 690 million).The syndicate of the lenders included European Investment Bank and underwriters: BNP Paribas, ING Bank N.V., Societe Generale S.A. and Santander Bank Polska S.A. The facilities are being made available to Światłowód-Inwestycje, a 50/50 joint venture of Orange Polska and APG, to finance fiber to the home (FTTH) roll-out to 1.7 million households over the next 5 years. Światłowód-Inwestycje will operate in an open access model providing wholesale access to its fibre network to all interested operators.

  • Advising a consortium of Polish banks composed of Santander Bank Polska S.A., Bank Polska Kasa Opieki S.A. and BNP Paribas Bank Polska S.A. on a secured corporate financing amounting to a total of PLN 300 m (EUR 66 m) for Arctic Paper S.A and its subsidiaries. The transaction involved refinancing of bonds, term and revolving facilities, factoring arrangements and hedging. The funds will be used for the purpose of refinancing of the existing indebtedness and for general corporate and working capital purposes of the company and its subsidiaries.
