Biography
Dorothée Ciolino is a commercial, corporate and IT lawyer based in Luxembourg. She advises clients on banking and finance, commercial, corporate and IT law issues and has more than 20 years' experience of working in the Luxembourg market.
Dorothée is a trusted advisor to clients in a wide variety of industries, including technology and banking and finance. She offers a broad range of services relating to banking regulation, with a focus on FinTech, payment services and the digitalisation of payment means. Dorothée also has extensive knowledge of intellectual property law and new technologies, in particular in software development and implementation of SaaS and PaaS, as well as data protection issues.
Dorothée's diverse practice involves advising clients on corporate and contract law. She assists local and international clients in setting-up their business in Luxembourg, in their day-to-day operations and in expanding their business across the EU. She advises on mergers and acquisitions and restructurings involving financial institutions, as well as on structuring of the investment and financing transactions.
Having held directorship positions in several types of businesses (mainly payment services providers, luxury groups, real estate companies), Dorothée is able to take a practical approach in negotiating agreements with providers and regulators. Her experience allows her to offer a global and integrated vision on regulatory and structuring matters and on operational issues.
Prior to joining the firm, Dorothée was the founding partner of DCL Avocats.

Dorothée advises her clients on banking and finance, commercial, corporate and IT law issues. Her experience includes:
- advising on structuring and setting-up of IT start-ups (e.g., SaaS providers, PaaS providers, regulated or not regulated) and negotiation of commercial agreements;
- drafting of corporate documents such as share purchase agreements and shareholders' agreements;
- negotiating and drafting of financing documentation (security package and credit agreements) for credit institutions or corporations on all related regulatory aspects in order to assist her clients in relation to compliance related projects;
- advising on restructuring (mergers, acquisitions).
