Biography
Alastair Dixon, Senior Director in Corporate – South Africa, is a commercial lawyer based in Johannesburg.
He combines considerable expertise in public M&A and Equity Capital Markets work, with particular experience in the Financial Institutions, Mining and commodities and Energy and infrastructure spaces. Alastair acts for Rio Tinto, Eskom, Absa Capital, Hans Merensky Holdings, Zurich Insurance Company, Glencore, Sirius Real Estate, Renergen, Barclays Bank and Investec.
Alastair has advised and / or led on numerous public and private acquisitions and disposals. He advised Rio Tinto on its acquisition of BHP Billiton's 37.5% interest in Richards Bay Minerals, Rio Tinto on the disposal of its controlling interest in then JSE listed Palabora Mining Company to a Chinese Consortium and the IDC, Eskom on two group restructurings, the latter involving the merger of two large group operating subsidiaries, Absa Capital on the disposal of its majority interest in a large private equity fund and related companies to two US private equity houses, Zurich group on the scheme of arrangement in terms of which a Zurich group subsidiary acquired all of the minority interests in then JSE listed Zurich Insurance Company South Africa and Glencore on the disposal of certain group entities' interests in a private equity fund.
He advised Zurich group on the disposal of its 100% interest in Zurich Insurance Company South Africa to a Canadian financial services group. More recently, he advised a global insurance group on the proposed acquisition of an IT business, with operations in South Africa and Australia.
Alastair has advised and / or led on several JSE IPOs and rights offers. He advised HBW Group on the re-structuring of its Zambian property assets and the proposed primary listing of those assets, through a REIT structure, on the JSE, with a secondary listing on the LuSE, Scatec Solar on the extension of an employee offering under its Norwegian IPO to South African employees, Investec Properties on the IPO of Irish Residential Properties REIT and Sirius Real Estate on its fast track secondary listing on the JSE, the first secondary listing of its kind in South Africa.
He advised Sirius Real Estate on its move to the main boards of the LSE and the JSE, Barclays Bank on the separate sell downs of its majority interest in JSE listed Barclays Africa Group, Numis Securities on the placing and admission to trading on AIM of Yellow Cake Plc and Renergen on its dual listing on the ASX. More recently, he has been advising a South African financial services group, in relation to the establishment of a renewable energy private equity fund structure, on the proposed listing on the JSE of a company (being the limited partner) within that fund structure.
