Biography
Chuck Hollis is a technology, outsourcing and strategic commercial transactions lawyer handling a range of technology and commercial arrangements both in the US and globally. With more than 25 years of experience, he counsels public and private companies around the world across a diverse client base, including those in the financial services, hospitality, energy, transportation, healthcare and consumer products/retail and technology industries.
Chuck is a proven business and legal advisor to his clients providing not only transactional legal advice, but also negotiation business strategy, vendor selection, consultative advice and lifecycle support in the following areas:
- Traditional and digital outsourcing including complex, global traditional outsourcing arrangements (ITO, ADM, BPO, MSP) and the more hybrid and digital outsourcings in which the parties leverage automation, artificial intelligence (AI), cloud migration and other transformative processes. In many cases, these arrangements are associated with digital transformations, corporate transactions, carve-outs, joint ventures and divestitures.
- Digital transformation initiatives which include the global support for the purchase, sale and implementation of cloud services, cloud operations, broad scale implementation of ERP, SaaS, XaaS, AI/machine learning (ML) and other technology and software platforms, including the more traditional software licensing, maintenance and support engagements.
- AI, ML and big data initiatives related to the deployment and governance of AI and AI-enabled solutions including internal corporate governance, regulatory advice and compliance, policies and framework development, and data privacy impact and training data assessments. Chuck also regularly support clients in the contracting of and for AI and AI-enabled platforms and solutions, including addressing the special issues and requirements attendant to these platforms and solutions.
- Pre-divestiture restructuring and post-acquisition integration, which includes supporting and working with acquirors and targets (i) in the restructuring of business operations and intellectual property allocations in connection with a carve-out or similar business unit divestiture, (ii) with TSA-readiness and TSA-enablement and (iii) in the replacement and deployment of operations and support services, including TSA replacement and post-acquisition integration.
- Strategic technology, outsourcing and commercial dispute assistance, including working with customers and providers to manage and work through disputes in a business-oriented manner related to scope, implementation, performance, service level achievement, pricing and other contractual disputes. Chuck also provides support for software and subscription audit preparation, mitigation and defence.
Before joining Norton Rose Fulbright, Chuck was a partner at other international law firms, most recently co-leading the global Technology and Commercial Transactions practice for an international law firm. Chuck also brings an IP-focused knowledge and skill set to his practice as a registered patent attorney.
