Biography
Craig Vogelsang advises US and foreign clients in the acquisition, disposition and development of oil and gas exploration and producing properties, intrastate and interstate natural gas, crude oil, natural gas liquids and other hydrocarbon product pipelines and gas processing plants.
Craig also advises in the legal aspects of operations, commercial activities, and financings in the oil and gas sector, including exploration and production, gathering and processing, LNG, and joint development and operation of upstream and midstream properties.

Upstream Onshore – Transactions involving conventional and unconventional resources, including shale:
- Representation of one of the largest independent (non-integrated) oil and gas companies in the US in the acquisition of approximately 33,000 net acres of oil and gas exploration and producing properties located in the Barnett Shale for stock and cash consideration of $196.7 million.
- Representation of one of the largest independent (non-integrated) oil and gas companies in the US in a $395 million disposition of shallow natural gas properties located in the Marcellus Shale.
- Representation of an independent exploration and development company in a $215 million disposition of approximately 46,000 net acres of oil and gas exploration and producing properties located in Utah's Uinta Basin.
- Representation of a Texas-based independent oil and gas company in a series of transactions involving the acquisition of oil and gas exploration properties located in the Niobrara Shale of Colorado.
- Representation of a major independent E&P company based in the US in a series of transactions involving the disposition of oil and gas exploration and producing properties located in various regions throughout the US, including the Mid-Continent, Austin Chalk, Haynesville Shale and Rockies, for an approximate aggregate consideration of $5.8 billion.
- Representation of a Texas-based independent E&P company in a $280 million disposition and joint development of approximately 3,575 net acres of oil and gas exploration and producing properties located in the Barnett Shale.
- Representation of a major independent E&P company based in the US in a $1 billion transaction involving the contribution of oil and gas reserves and related assets to a newly formed limited liability company to be owned by an affiliate of another energy company and the client.
- Representation of a major independent E&P company based in the US in a $1.85 billion transaction involving the contribution of oil and gas reserves and related assets to two newly formed limited liability companies each to be owned by an affiliate of a pipeline company and the client.
- Representation of a Texas-based independent oil and gas company in a transaction to acquire approximately 13,000 net acres of producing and non-producing leasehold, royalty and midstream assets located in the Barnett Shale for stock and cash consideration of $1.262 billion.
- Representation of a leading independent North American natural gas producer in a $285 million disposition of natural gas and oil producing properties located primarily in the Evanston and Green River Basins of southwestern Wyoming.
Upstream Offshore – Transactions involving offshore properties in the Gulf of Mexico:
- Representation of a multinational oil and gas company in a series of transactions involving the disposition of an interest in certain oil and gas exploration properties and related assets covering Block 519 Mississippi Canyon in the Outer Continental Shelf of the Gulf of Mexico, and the acquisition of an interest in certain oil and gas exploration properties and related assets covering Block 562 Mississippi Canyon (a.k.a. "Isabela") in the Outer Continental Shelf of the Gulf of Mexico.
- Representation of a major independent E&P company based in the US in a $625 million disposition of oil and gas producing properties and related assets located on numerous blocks of the Outer Continental Shelf of the Gulf of Mexico.
- Representation of a US subsidiary of a national oil company in the acquisition and joint development and exploration of an interest in approximately 20,000 acres in the offshore waters of Texas (Gulf of Mexico).
- Representation of an independent E&P company based in the US in the acquisition of several undeveloped blocks in the deepwater Gulf of Mexico for $120 million.
- Representation of a major independent E&P company based in the US in a $1.3 billion disposition of 78 fields on 241 offshore blocks (involving 693,000 net acres), including 93 undeveloped blocks and 112 platforms located on the Outer Continental Shelf of the Gulf of Mexico.
- Representation of a Japanese energy and commodities trading company in a $150 million acquisition of producing and non-producing state and federal oil and gas leases, leasehold interests and related infrastructure in the Gulf of Mexico.
- Representation of a major independent E&P company based in the US in a $1.2 billion disposition of several blocks located in the deepwater of the Gulf of Mexico
Midstream – Transactions involving midstream properties:
- Representation of a wholly-owned subsidiary of one of the largest independent (non-integrated) oil and gas companies in the US in a $185 million disposition of a condensate recovery plant and 83 mile long high energy dense phase gas pipeline located in North Dakota.
- Representation of a leading independent North American natural gas producer in a $150 million disposition of gathering pipelines and compressor stations located in the Marcellus Shale.
- Representation of a major North American midstream company in a $682 million acquisition of interests in several entities whose primary assets consisted of 800 miles of natural gas pipelines and four gas processing plants located in southwestern Oklahoma and the Texas Panhandle.
- Representation of a major North American midstream company in a $150 million disposition of its interest in various entities whose assets included two interstate gas pipelines and a substantial network of intrastate pipelines and gathering, and processing systems located primarily in Alabama, Louisiana, Mississippi and Tennessee.
- Representation of a major North American midstream company in a $131 million acquisition of crude oil storage facilities in Cushing, Oklahoma, together with 600 miles of crude oil pipeline facilities located in Kansas, Illinois, Missouri and Oklahoma.
- Representation of a major North American midstream company in a $615 million stock acquisition of a US entity owning 11 natural gas transmission systems and gas gathering and related facilities located within US territorial waters of the Gulf of Mexico, then capable of shipping and processing approximately three billion cubic feet of natural gas per day.
International – International transactions:
- Representation of a subsidiary of one of the largest independent (non-integrated) oil and gas companies in the US in the sale of all of its interest in (1) a planned liquefied natural gas export facility located on the Canadian west coast, (2) approximately 644,000 acres of petroleum and natural gas rights located in the Horn River Basin in British Columbia, Canada and (3) a proposed 463km pipeline.
- Representation of a major independent E&P company based in the US in activities relating to the exploration and development of certain blocks located offshore Qatar, including the preparation and negotiation of an offshore drilling contract and related services agreements and the preparation and negotiation of an agreement with a German E&P company regarding the joint exploration of such blocks and adjacent blocks along with a shared services agreement.
- Representation of one of the largest independent (non-integrated) oil and gas companies in the US in a $210 million acquisition of a Canadian corporation which indirectly owned an interest in a planned liquified natural gas export terminal to be located on the Canadian west coast.
- Representation of a major independent E&P company based in the US in activities relating to the exploration and development of gas fields located in eastern Algeria, including the preparation and negotiation of a joint operating agreement, area of mutual interest agreement and joint participation agreement.
- Representation of a major domestic E&P company in the farm-out of a partial interest in a deepwater block in the South China Sea and the farm-in of a partial interest in two deepwater blocks located offshore Malaysia.
Downstream – Downstream transactions:
- Representation of a US integrated energy company in a $120 million disposition of a New Jersey refinery with a refining capacity of 150,000 barrels per day, including the structuring and closing of the disposition of a related 80-mile products pipeline and the long-term lease of an electricity cogeneration facility located adjacent to the refining facility.
- Representation of a US integrated energy company in a $289 million asset disposition of a refinery in Corpus Christi, Texas, together with a related terminal facility, crude oil and product discharge and handling facilities, and a petroleum product pipeline system extending from the refinery into discharge points in South Texas.
