Biography
Andrea Salsi is a finance lawyer based in London, focusing on securitisation transactions.
Andrea advises major banks, funds, large corporations and financial institutions on warehouse financing, the acquisition of receivables portfolios, public and private securitizations (both cash and synthetic) and other structured finance transactions backed by receivables from various asset classes. These asset classes include vehicle financing (auto loans, hire-purchase agreements, lease agreements, and other consumer loans), trade receivables, freight receivables, equipment lease receivables, NPLs and residential mortgage receivables (Prime, BTL, Non-conforming loans, and Bridging loans).
Additionally, Andrea has worked on several bond issuances, including the first English law-governed digital bond natively issued on the Ethereum public blockchain, as well as several corporate finance transactions.
Before joining Norton Rose Fulbright, Andrea worked for other large international law firms and was seconded to HSBC assisting the Transaction Management Group in 2017, and to Barclays to support the Milan Treasury team in issuing their first Italian bond in 2014.

- Driver UK Multi-Compartment S.A. – Compartment Driver UK eight, a public GBP512 million STS-compliant stand-alone revolving securitisation;
- Driver UK MASTER S.A. - acting for and on behalf of its Compartment 7, the establishment of the GBP7 billion STS-compliant securitisation programme.
- Mercedes-Benz Financial Services UK Limited as originator in respect of the Silver Arrow 2024-1transaction, a GBP530 million STS-compliant securitisation of a portfolio of UK PCP and HP agreements.
- Santander Corporate & Investment Banking as senior lender in respect of English law aspects of a number of Polish securitisations, including a recent PLN 1.3 billion (EUR 275 million) transaction to finance an originator of Polish vehicle receivables.
- PV01 Capital Markets Ltd as arranger in respect of an English law governed digital bond natively issued on the Ethereum public blockchain. The digital bond was denominated in USDC and collateralised by U.S. Treasury Bills.
- Major French bank as arranger for a pool of international banks in respect of the renewal of a pan-European warehouse financing transaction backed by equipment receivables originated in England, France, Germany and Italy.
- Major global bank as senior investor in connection with multiple renewals of a pan-European asset-backet facility for a leading chemical group.
- San Francisco-based fintech business providing working capital management, electronic invoicing, supply-chain finance, and dynamic discounting services to large organisations in respect of the establishment of its note financing platforms to support UK and European clients.
- Major UK Bank and other financial institutions in respect of the prepositioning of portfolios of receivables within the Sterling Monetary Framework (Discounted Window Facility) with the Bank of England.
- Major Spanish bank in respect of a synthetic securitisation (SRT) sponsored by a global institutional investor.
- A pool of international banks as senior lenders in respect of a securitisation of freight receivables originated by subsidiaries of a global logistics and supply chain group with companies located in Belgium, France, Germany, the Netherlands, Spain and the UK and obligors located in 20+ jurisdictions.
