Biography
Joseph Palmieri’s practice focuses on corporate and securities law, with a particular emphasis on public and private mergers and acquisitions, corporate finance and securities. He has acted for both purchasers and vendors in a number of domestic, international and cross-border M&A transactions and on securities offerings, including initial public offerings, private placement financings and corporate reorganizations. Joseph’s experience is spread across in a wide array of industries, including aviation, technology, retail, infrastructure, manufacturing, government and life science sectors.
Joseph is also a member of our special situations team, which encompasses Canada's leading hostile M&A, shareholder activism and complex reorganization transactions and our Canadian transactional representation and warranty insurance practice in which he routinely advises insurers in the underwriting of representation and warranty insurance policies.

- Porter Aviation Holdings Inc. and its affiliates in connection with the entering into of an airport terminal development and operations program with Développement de l'Aéroport Saint-Hubert de Longueuil (DASHL) for the construction, operation and maintenance of a new commercial air passenger terminal at Aéroport de Montréal Saint-Hubert Longueuil
- Porter Aviation Holdings Inc. and its affiliates with their partnership with Macquarie Asset Management to support the development of new commercial air passenger terminal at Aéroport de Montréal Saint-Hubert Longueuil
- ARTMS Inc., a life sciences company specializing in the physics, chemistry and materials science of cyclotron-produced radionuclideon, on its acquisition by Telix Pharamceuticals Limited
- Newport Private Wealth Inc., one of Canada’s largest private wealth management firms with approximately C$4.3 billion in assets under management, on its acquisition by NFP. Newport offers comprehensive services related to estate, retirement and tax planning, insurance solutions, investment management and philanthropic pursuits to high- net-worth individuals and families
- Affirm, Inc., a publicly traded financial technology company headquartered in San Francisco, on its acquisition of Yroo Inc. (formally Shopbrain), an Ontario technology company offering eCommerce solutions. Affirm lets consumers take out microloans at the e-commerce and in-store point of sale with participating vendors and aims to provide a quick, transparent, and more inclusive lending alternative to credit cards
- Accenture with its global acquisition of N3, a business-to-business sales firm that combines specialized talent with artificial intelligence and machine learning capabilities to enable smarter, more efficient sales interactions
- Accenture with its global acquisition of CreativeDrive, a global, tech-driven content production company that simplifies, automates and scales the creative asset production process
- Canadian Tire Corporation, Limited in its acquisition of Helly Hansen, a leading global brand in sportswear and workwear based in Oslo, Norway
