Biography

Josh Rocha is Projects Counsel in the firm’s Austin office, whose practice spans renewable energy transactions, project development, and strategic advisement for a range of clients. With a wealth of experience in M&A, project development, and commercial negotiations, he has led complex acquisitions, joint ventures, and other high stakes agreements for utility-scale solar, wind, and battery energy storage projects.

His versatility and ability to navigate intricate deal structures has made him a trusted advisor not only to private equity firms, major utilities and independent developers but also to innovative startups navigating high-stakes venture financing. With a focus on delivering value through strategic transactions and creative problem-solving, Josh continues to advance the transition to clean energy with a meticulous approach to each project’s unique challenges.

  • Represented Fengate Asset Management in the acquisition of a majority interest in the 250 MW Amadeus wind project in Kent, Fisher and Stonewall counties, Texas and the negotiation of joint venture agreements to govern ongoing operations.
  • Representing a fund in the acquisition of a 50% interest in a portfolio of solar projects and negotiation of the resulting joint venture agreements.
  • Representing a developer in the negotation of project development agreements for a portfolio of battery energy storage projects in Texas.
  • Representation of Kansai Electric Power Company in the acquisition of a 48.5% interest in the 525 MW Aviator Wind Project in Texas and negotiation of joint venture agreements to govern the construction and operation of the project.    
  • Representation of a major southern utility in joint development arrangements with a large renewable energy developer for the development and acquisition of a portfolio of utility-scale solar projects over time. 
  • Representation of the developer and sponsor in the negotiation of project development and revenue agreements of an approximately 347 MW solar project in Texas.
  • Representation of the developer in the negotation of a master supply agreement and construction contracts for the development of battery energy storage projects in Texas.
  • Representation of an investment bank on its acquisition of a 142 MW portfolio of solar power generation assets from an international investment fund. 
  • Representation of an investment bank on its approximately $350 million acquisition of a solar portfolio comprised of 76 distributed solar energy projects with total capacity of 204 MW located at 143 sites. 
  • Representation of a financial institution in the $1.175 billion acquisition of a 33 percent minority interest in a solar portfolio.
