Biography

Robert Phillpott focuses his practice on corporate tax matters, advising clients on tax planning for mergers and acquisitions, reorganizations, spin-offs and divestitures, joint ventures, restructurings and securities offerings.

Bobby also counsels clients on the formation and operation of corporations, partnerships and limited liability companies and certain tax controversy matters.

  • Represented an international oil and gas company in the US$5.6 billion sale of its upstream and midstream business in Alaska.
  • Represented a global institutional investor and asset manager in its acquisition of a publicly traded limited partnership. The all-cash transaction had a US$10.3 billion enterprise value.
  • Represented private equity-backed pipeline developer in the development, joint venture planning and sale of a US$1.2 billion, 177-mile natural gas pipeline in the Marcellus region.
  • Represented an independent midstream logistics company in its acquisition of an oil export facility valued at US$2.6 billion.
  • Represented a global performance drilling tools, equipment and service provider in the sale of its horizontal directional drilling tools company.
  • Represented a renewable energy company in acquisitions, development, tax equity financings and dispositions of multiple utility-scale photovoltaic projects in California, Arizona, Idaho, Indiana, Utah, Alabama, Wyoming, Navada, Georgia and Texas.
  • Represented a middle-market private equity firm in its acquisition of a construction services company serving the utilities industry.
  • Represented a publicly traded limited partnership in its acquisition of a manufacturer of silo-based frac sand management systems.
  • Represented private equity funds in buy-side and sell-side domestic and international merger and acquisition transactions in a range of industries, including commercial food preparation and service, energy, logistics, manufacturing, restaurant, retail and wholesale.
  • Represented publicly traded master limited partnerships and sponsors in dropdowns, tax-free mergers, PIPE offerings, spinoffs and other transactions.
