Project description
We advised Wolf Carbon Solutions Inc., a Calgary-based energy infrastructure company backed by the Canada Pension Plan Investment Board, on its acquisition of an interest in the Alberta Carbon Trunk Line Project (ACTL). ACTL is an integrated, large-scale CCUS system which includes a 240 km pipeline which will gather, compress and store up to 14.6 million tonnes of CO2 per year from industrial emitters in Alberta and transport this CO2 for enhanced oil recovery application via injection into depleted oil reservoirs. This carbon capture and storage project received funding from the federal and provincial governments, and is owned and operated by a consortium of companies including Wolf, Enhance Energy Inc., North West Redwater Partnership and Nutrien.
Scope of work
Our work for Wolf in relation to the Alberta Carbon Trunk Line Project included representing Wolf in its acquisition of an interest in the Alberta Carbon Trunk Line Project, the negotiation of project development, midstream services and other related agreements among the project consortium parties, the financing of the project, and the negotiation of certain construction contracts.
What makes the project unique
The Alberta Carbon Trunk Line has the world’s largest capacity pipeline for CO₂ from human activity, capable of transporting up to 14.6 million tonnes of CO₂ per year. In addition to being a first-in-kind infrastructure project, this was also a very complex acquisition and financing project due to the number of parties involved and the interplay of existing and new financing arrangements (and the related political considerations of the two levels of government involved in the project).
