Biography

Ben Carrozzi is a projects lawyer based in London. 

Ben is a projects and structured finance specialist, who advises his clients on the development and financing of renewable energy and low carbon infrastructure projects across the UK, Europe and APAC.  He has a wealth of experience on the structuring and delivery of a variety of funding solutions, including project finance, holdco finance, leveraged finance and development finance.

Ben has advised on some of the foremost transactions in the energy transition space spanning offshore wind, onshore wind, solar, battery storage, gas-to-power, energy from waste, hydrogen and carbon capture.  His infrastructure experience includes accommodation, interconnectors, water and transportation projects.  His clients across these sectors include sponsors, infrastructure funds, banks, multilaterals (including export credit agencies) and financial institutions.

Advising:

  • Ocean Winds on all aspects of the development and financing of the Moray West project, including negotiating CPPAs with two major global corporates.
  • Lenders (30 banks and 4 ECAs) in relation to the financing of all three phases of the Dogger Bank Offshore Wind Project.
  • Lenders in relation to all aspects of the financing of the Seagreen and Beatrice projects in Scotland and the Triton Knoll, London Array and Walney I and II projects in England. Also advising the lenders in relation to the refinancing of Beatrice, London Array and Walney I and II.
  • Greencoat UK Wind plc on its £400 million acquisition from GIP of a minority stake in the Hornsea One offshore wind farm developed by Orsted.
  • Inpex on its acquisition on a 16.7% stake in the Moray East offshore wind farm.
  • Lenders in relation to the financing of the Greenlink interconnector project between the Republic of Ireland and the United Kingdom.
  • OnPath on a £120 million group level revolving credit facility to support the development of its pipeline of renewable energy projects.
  • Investec in its capacity as mandated lead arranger and bookrunner on the provision of a development financing facility (including an accordion and other ancillary facilities) to Recurrent Energy to support the development of their renewable energy pipeline.
  • Lenders in relation to the provision of various corporate debt facilities to Lightsource BP to support the rapid development of its worldwide solar business, including advising a syndicate of international financiers and insurers on a US$1.8bn revolving credit facility and advising a syndicate of international financiers and insurers on a GBP 1.6bn facility to an LSbp subsidiary comprising term loan facilities, a letter of credit facility, ancillary facility, incremental and accordion facilities.
  • Brookfield on the holdco refinancing and restructuring of its entire Irish onshore wind portfolio, comprising 16 projects.
  • Carval Investors on the provision of a €250,000,000 development finance facility (including an accordion) to ASE to support the development of ASE’s solar business in Europe.
  • Masdar on the development and financing of the Bukhara solar and battery storage project in Uzbekistan.  The finance parties included the IFC, the Asian Development Bank, Japan International Cooperation Agency and FMO.
  • Brookfield in relation to the original financing and the subsequent refinancing of its interests in two pumped hydro storage assets in Wales.
  • Quinbrook on the holdco financing of a portfolio of synchronous condensers in the United Kingdom.
  • JERA Co., Inc and TEPCO Power Grid, Inc. on their investment of up to GBP 25 million in Zenobe Energy Limited, a battery storage company based in the United Kingdom.
  • Tag Energy on the financing of 3 battery storage facilities in the United Kingdom.
  • CDC Group PLC in relation to the development of a 50 MW wind park near Karachi, Pakistan.
  • Joint venture between Enel Green Power S.p.A. and Dutch Infrastructure Fund on the first phase of its acquisition of the 275 MW Bungala Solar PV project, being the largest ready-to-build solar PV project in Australia.
  • Wirsol Energy on the acquisition and the project financing of a portfolio of three, large scale solar PV projects, being the 57.5MW Whitsunday project (Queensland), the 57.5MW Hamilton project (Queensland) and the 50MW Gannawarra project (Victoria).
  • Hitachi Nuclear Energy Europe Limited, as part of an unincorporated EPC contractor joint venture with Bechtel and JGC, in relation to the Wylfa Newydd new build project being developed by the Hitachi-owned developer Horizon Nuclear Power, including advice concerning FEED, EPC and supply chain co-operation and sub contracts, joint venture arrangements, liability and regulatory requirements, Generic Design Assessment and permitting, and financing under the UK Guarantee scheme with Contract for Differences support.
  • Preferred bidder in relation to their proposed acquisition of a nuclear new build site in the United Kingdom, including full due diligence and M&A deal support, advice in relation to financing options including under the UK Guarantee scheme with Contract for Differences support, navigating environmental and planning considerations, and associated state aid issues and structuring of the EPC and other contractual arrangements.
  • Balfour Beatty Investments on the development and bond financing of the West Slope student accommodation project, which included an Assured Guaranty wrap.
