Norton Rose Fulbright advises BG Staffing, Inc. on a pair of recent acquisitions

A US team of Norton Rose Fulbright lawyers advised BG Staffing, Inc., a publicly-traded and growing national provider of workforce solutions, on its acquisition of EdgeRock Technology Partners in an all-cash transaction earlier this month.

EdgeRock Technology Partners is a leading provider of specialized IT consultants in 40 states that focuses on sourcing and placing technology professionals specialized in premier software and data ecosystems. With the acquisition, Plano, Texas-based BG Staffing has enhanced and expanded its national IT solutions offerings.

BG Staffing financed the acquisition with available funds under its existing credit agreement led by  BMO Harris  Bank,  N.A., and Bowstring Advisors acted as financial advisor to EdgeRock.

BG Staffing's acquisition of EdgeRock comes on the heels of a separate M&A transaction in which Norton Rose Fulbright also advised BG Staffing.

In December 2019, BG Staffing acquired L.J. Kushner & Associates LLC, a leading executive search and professional recruitment firm specializing in the information security industry. With the purchase of L.J. Kushner & Associates, BG Staffing increased its capabilities in cyber-security-related recruitment services across the United States.

On the EdgeRock transaction, the Norton Rose Fulbright team was led by Paul Conneely (Dallas) and included Brandon Byrne, Evan Patrick Hardee, Cassidy Tennyson, Bill Bowers, Alex Clark (Dallas), Jay M. Chadha, Kimberly Cheeseman (Houston), Katherine Klammer Madianos (Austin) and Carey Child (Washington, DC).

On the L.J. Kushner transaction, the team was also led by Conneely and included Madison Keeble (Austin and Dallas), Tennyson, Clark, Bowers and Chadha.
