Biography
Roy Goldman practices in the New York office, where he has been a partner since 1989, and serves as co-chair of the Private Equity Practice Group. He has a broad corporate and securities practice, with extensive experience in public (including initial public offerings) and private issuances of equity and debt securities (representing both issuers and underwriters), exchange and tenders offers, mergers, acquisitions and divestitures, private equity, commercial finance (representing borrowers), corporate restructurings and securities law compliance and disclosure issues. Roy also advises companies and boards of directors regarding numerous corporate matters, including corporate governance and compliance.
Previously, Roy served as a law clerk for the Honorable David N. Edelstein, Chief Judge of the United States District Court, Southern District of New York. Roy was vice president and general counsel of International Healthcare Corporation, a diversified health care provider organized to deliver high quality, cost-controlled health care services outside the traditional hospital-centered, cost-reimbursed milieu.
