Biography
Steven is an associate in the corporate, M&A and securities practice group of Norton Rose Fulbright US LLP in Dallas, Texas. He represents buyers and sellers in public and private, domestic and cross-border, mergers and acquisitions as well as private equity transactions and general corporate and securities compliance matters. Steven also advises clients with respect to state and federal corporate governance and securities matters, including reporting obligations under the Securities and Exchange Act of 1934 and compliance with NASDAQ and NYSE listing standards.

- Publicly listed oil and gas company focused on the acquisition and development of crude oil, natural gas and NGLs in its securities offerings related to the purchase of oil and gas assets in the DJ Basin for approximately US$600 million.
- A lithium refiner in its US$490 million de-SPAC merger listed on Nasdaq.
- AI infrastructure provider in its Series D funding round valued at US$600 million.
- An operator of independent living, assisted living and memory care communities for senior adults in several securities transactions, including its at-the-market offering of up to US$75 million of common stock and underwritten public offering of common stock for gross proceeds of approximately US$150 million.
- A German-based global healthcare packaging company in its acquisition of US based medical device design, development and contract manufacturer with global operations for US$50 million.
- A specialty pharmacy group in its stock sale to a healthcare company.
- Private equity backed provider of critical vegetation management services, including utility line clearing, ground clearing and mowing and emergency storm response, in the United States, in its acquisition of several providers of vegetation management services across the United States.
- Operating company of large on-highway truck dealerships and service centers in its acquisition of a leading provider of new and used on-highway truck dealerships and service centers.
- Public companies related to ’34 Act compliance, Section 16 filings, and corporate governance.
- Represent publicly traded and privately held corporations, limited liability companies and partnerships in buy-side and sell-side asset and equity transactions.
