Biography

Grace Carpenter is a finance, restructuring and insolvency lawyer based in London.

Grace has wide ranging experience advising on secured, cross-border syndicated and bilateral financings involving major commercial and development banks and financial institutions. Grace has a particular focus on financings in the oil and gas sector.

Grace is also skilled in restructuring and insolvency matters, having completed the Foundation Certificate in International Insolvency Law with INSOL International in 2020. Grace advises office-holders, debtors, creditors, directors and other stakeholders on a range of contentious and non-contentious insolvency matters and financial restructuring transactions, almost all of which include a cross-border element across a number of key industry sectors.

  • Advising Tullow Oil plc on an ongoing basis in relation to its bank facilities including its reserves based lending facilities, corporate facility, letter of credit facilities and other trade credit facilities.

  • Advising the lenders on a multi-phased project finance/RBL hybrid and upstream development financing of a 50% interest in a project in the Gulf of Mexico.

  • Advising the lenders on the financing of a 60% interest in a project in the Eastern Niger Delta.

  • Advising Gemcorp Capital LLP on its debt financing with Mobile Internet Holdings BV of $40m to deliver broadband access in underserved areas in Indonesia.

  • Advising DNB Bank ASA and HSBC UK Bank plc in relation to a €90m secured syndicated guarantee facility for Mainstream Renewable Power Limited, the Irish renewable power project company, and later advising the lenders on the restructuring of a secured syndicated guarantee facility .

  • Advising the senior secured lenders and co-ordinating committees of lenders on the financial restructuring of a major international shipping group.

  • Acting for the Australian liquidators of Lehman Brothers on their successful appeal to the UK Court of Appeal on the leading case relating to insolvency office-holder standards of conduct and fairness, overturning the UK administrators’ refusal to amend a claim to reflect its true value (Lehman Brothers Australia Ltd (in liquidation) v MacNamara [2020] EWCA Civ 321).
