Biography
Marta Kawecka is a banking and finance lawyer based in Warsaw. She focuses on advising financial institutions on a broad range of issues, including banking insurance regulations and supervision, secured lending and borrowing, project finance, acquisition finance, consumer finance and financial markets. She also advises insurance companies in relation to regulatory aspects, insurance products and distribution. In addition to that, her practice focuses on bankruptcy law and personal data protection.
Her experience includes high-profile projects involving crude oil monetisation and securitisations of loans for major banks and other types of creditors. For over a year she was seconded to ACE European Group Limited Branch in Poland. She is also a knowledge managing lawyer in the Warsaw office.

- Advised a syndicate of banks including ING Bank NV (London Branch) as documentation agent, Caixabank S.A. Oddział w Polsce, Bank Polska Kasa Opieki S.A., European Bank for Reconstruction and Development, BNP Paribas Bank Polska S.A., ING Bank Śląski S.A., Powszechna Kasa Oszczędności Bank Polski S.A., mBank S.A., Bank Handlowy w Warszawie S.A., Santander Bank Polska S.A. on a new multicurrency term loan and revolving credit facility for Windstorm Trading & Investments Limited and Zakłady Farmaceutyczne Polpharma S.A. The transaction value amounted to EUR 150m and PLN 2,5bn (totalling EUR 730m, i.e., PLN 3.22 bn).
- Advised a syndicate of financial institutions, including PKO Bank Polski, EBRD, ING Bank, Crédit Agricole, Santander, Bank Pekao SA, mBank, and PZU on PLN 2.8bn
(€ 650m) refinancing of Fiberhost S.A. and INEA sp. z o.o. In addition to refinancing, the funds made available under the financing will be used for further expansion of fiber optic network. - Advised Eko-Okna S.A. in relation to credit loan financing made available by a consortium of Polish banks (Bank Polska Kasa Opieki S.A., Santander Bank Polska S.A., Powszechna Kasa Oszczędności Bank Polski S.A., BNP Paribas Bank Polska S.A. and ING Bank Śląski S.A.) in the aggregate amount of equivalent of approximately PLN 1.597bn ( €357m). The financing was made available in connection with the expansion of Eko-Okna activities and development of its manufacturing plants.
- Advised a consortium of major Polish and Western European lenders on PLN 1.5bn (€338m) sustainability-linked financing for CARGOUNIT, a leading Central and Eastern European locomotive leasing company headquartered in Poland.
- Advised European Bank for Reconstruction and Development (EBRD) on €42m senior secured loan for Cersanit S.A. This investment is part of the EBRD’s widespread support to Ukraine struggling in the face of Russian invasion.
Project finance
- Advised a consortium of Polish banks comprising BNP Paribas Bank Polska S.A. and mBank S.A. in relation to a PLN 321 million (EUR 69 million) financing for R.Power. The funds will be used for the construction of PV installations with a total capacity of 139 MWp. The financing covers auxiliary funding, including VAT on investment costs and a guarantee line to secure the obligations arising from the PPA agreements.
- Advised BNP Paribas Bank Polska S.A. on the financing construction of 32.7 MW photovoltaic projects portfolio sponsored by R.Power S.A.
- Advised the club of banks comprising Bank Pekao S.A., Erste Group Bank AG, ING Bank Śląski S.A., PKO Bank Polski S.A. and Santander Bank Polska S.A. in relation to a PLN 864 million (€189 million) financing for the solar power plant portfolio of R.Power Group. The transaction is the largest PV power plant financing in Poland so far and the proceeds will be used to build solar power plants with a total capacity of 299 MWp, which succeeded in the last year’s Polish renewables support auctions.
- Advised the club of Polish banks comprising BNP Paribas Bank Polska S.A. and Santander Bank Polska S.A. in relation to the PLN 242 million (EUR 52.8 million) financing for R. Power. The funds will be used for the construction of seven PV installations with a total capacity of 91 MWp. The complex transaction was based on the project finance formula relying on the Polish support scheme for PV energy installations.
- Advised the consortium of Polish banks consisting of mBank S.A. and Santander Bank Polska S.A. in relation to the development financing of R. Power's 121 MWp PV installations in Poland. The total value of financing amounts to approximately 350 million PLN (nearly US$90 million), which makes it the largest PV project financing in Poland to date.
