Biography

Michael McCourt's practice focuses on cross-border lending and capital markets transactions, principally in Latin America, including structured trade and export finance, leveraged and acquisition finance, project finance and investment grade and high-yield bonds. He has extensive experience advising on debt restructurings and liability management transactions. Michael also advises on derivatives and structured products.

  • Itaú and Bradesco on the restructuring of several export prepayment loans to Terra Santa Agro (formerly Vanguarda Agro), a publicly traded Brazilian agribusiness company
  • Iochpe-Maxion, a leading global wheel manufacturer, on a €130 million secured term facility arranged by Deutsche Bank AG
  • Rabobank, Citibank, Santander, Itaú, Bradesco, ABN AMRO, ING, Standard Chartered, The Bank of Tokyo-Mitsubishi UFJ, Banco Votorantim and Banco do Brasil as bilateral lenders on the restructuring of approximately $900 million of debt of Usina Santa Terezinha, a Brazilian sugar and ethanol producer
  • ABN AMRO on a $25 million export prepayment finance agreement with Molino Cañuelas, one of Argentina's leading foods and agribusiness companies
  • Rabobank, Itaú, HSBC, Caixa Geral de Depósitos and Santander on a $60 million export prepayment finance agreement with Belagrícola, a leading Brazilian grain originator and distributor of agricultural inputs
  • Morgan Stanley on a $30 million working capital facility to Marfrig, a leading global meat producer
  • Rabobank, Citibank and Santander on the restructuring of $98 million of export prepayment loans to Usina Delta, a Brazilian sugar and ethanol producer
  • SMBC on a $50 million export prepayment finance agreement with Raízen Energia, a leading Brazilian energy company
  • Morgan Stanley, Citibank, Bradesco BBI, Banco Votorantim, Banco do Brasil and Mitsubishi UFJ Securities as underwriters in connection with the offer of $400 million notes issued by Companhia Brasileira de Alumínio (and guaranteed by its parent Votorantim Industrial S.A.) and as dealer managers in three tender offers for up to $1.1 billion in notes issued by Votorantim Industrial S.A and its affiliates
  • Assured Risk Transfer, a project finance advisor and insurer, in structuring and funding a tower finance facility for MET Brasil, a Brazilian cell phone tower construction company, with collateral consisting of receivables arising from tower rental contracts
  • Citibank, HSBC, Banco do Brasil, Bradesco BBI and Banco Votorantim as dealer managers in tender offers for up to $1 billion in senior notes by Votorantim Industrial and Companhia Brasileira de Alumínio, two wholly-owned subsidiaries of Votorantim Participações
  • Pacific Exploration & Production Corp., a leading Latin American independent oil and gas producer, on the establishment of a $1 billion senior unsecured revolving credit facility and a $250 million senior unsecured term loan facility

  • A syndicate of Brazilian and international financial institutions as arrangers and lenders in the $328 million financing of the Vitoria 10,000 drillship and the $147 million refinancing of the Lancer drillship by the Schahin Group
  • BNDES (Banco Nacional de Desenvolvimento Econômico e Social), the Brazilian development bank, in its issuance of $1 billion in exchangeable bonds
  • Banco Votorantim, as issuer, and BNP Paribas, as solicitation agent, in the completion of 175 simultaneous consent solicitations relating to notes in the aggregate amount of $4 billion issued under Banco Votorantim's global medium term note program and euro medium term note program
