Biography
Andrew Hopkins practises corporate and commercial law, with a focus on mergers and acquisitions, corporate finance and securities. Andrew assists both domestic and international clients on M&A transactions, corporate restructuring transactions, equity and debt offerings and general corporate matters.
Andrew first joined us as a summer student in the spring of 2020 and completed his articles with us in 2022.

Andrew has acted in the following matters:
- Counsel to Vermilion Energy Inc. in its USD $400 million offering of senior unsecured notes by way of private placement in Canada and the United States.
- Counsel for Source Energy Services Ltd. in a comprehensive reorganization of Source Energy Services Ltd.'s corporate structure in Canada and the United States in connection with the refinancing of its credit facilities by the entering into of a new five-year term loan and a new revolving asset-backed loan.
- Counsel to the agents in Freehold Royalties Ltd.'s $150 million equity offering by way of a prospectus supplement.
- Counsel for Aspen Properties Ltd. and a number of its affiliates in connection with the reorganization of its real estate portfolio. Such reorganization involved the purchase of certain units and shares of various partnerships and corporations that were formed for the purpose of holding title to various real estate assets throughout Calgary, Alberta, and the concurrent creation and structuring of a number of alternative partnerships and investment vehicles.
- Counsel to the agents in Coastal GasLink Pipeline Limited Partnership's $7.15 billion private placement of First Lien Senior Secured Notes. The offering is the largest corporate bond offering in Canadian history and was used to refinance Coastal GasLink Pipeline Limited Partnership's existing construction credit facility.
- Counsel to TELUS Corporation in numerous corporate finance matters in both Canada and the United States, including the offering of numerous series of Senior Unsecured Notes, Sustainability-Linked Notes pursuant to TELUS Corporation's Sustainability-Linked Framework and Fixed-to-Fixed Subordinate Notes, in each case, by way of prospectus supplement.
- Counsel to the agents in Tourmaline Oil Corp.'s $250 million offering of senior unsecured notes by way of private placement.
- Counsel to FortisAlberta Inc. in numerous corporate finance matters including the regular offering of medium term note debentures in Canada.
- Counsel to Veren Inc. (then Crescent Point Energy Corp.) in an approximately $500 million equity offering by way of a prospectus supplement. The proceeds of the offering were used to partially finance the acquisition of Hammerhead Energy Inc.
- Counsel to the wealth management division of an American multinational investment bank and financial services company in a number of transactions involving the purchase and sale of certain retirement plan assets and companies in jurisdictions throughout North America, the United Kingdom, the European Union and Australia.
