Norton Rose Fulbright advises CloudCall Group plc on £40m takeover

Global law firm Norton Rose Fulbright has advised CloudCall Group plc (CloudCall), the AIM-listed software and integrated communications business, on its £40m (c.$54m) takeover by Xplorer Capital Growth I, LLC (Xplorer).

Xplorer is a venture capital firm based in Silicon Valley and is a newly formed company owned by funds managed and advised by Xplorer Capital Management LLC.

Under the terms of the offer, CloudCall shareholders will receive 81.5 pence per share in cash. The acquisition by Xplorer sees CloudCall returning to private ownership following the suspension and cancellation of its admission to trading on AIM and the withdrawal of its designation on OTCQX, the US over-the-counter trading facility.
