Norton Rose Fulbright advises Rubis Energie on first US Private Placement (USPP) financing with PGIM Private Capital

Global law firm Norton Rose Fulbright has advised Rubis Energie, a subsidiary of Rubis, on the signing of its first US Private Placement under French law with PGIM Private Capital of an amount of US$265 million.
Rubis Energie will issue 3 series of €70 million each of Senior Unsecured Notes with 8-, 10-, and 12-year bullet maturities. This new USPP financing enables Rubis Energie to diversify its sources of financing while extending the current average maturity of its debt from 3 to 5 years and paves the way for other potential USPP transactions.
Rubis Energie, a wholly-owned subsidiary of the listed company Rubis, is a leading energy distribution business, specialising in the distribution of fuels (in service stations or to professionals), fuels for industry, liquefied gases, and bitumens, from supply to the end customer.
BRED Banque Populaire also advised Rubis Energie on the transaction.
The cross-border Norton Rose Fulbright team advising Rubis Energie on this transaction was led by Paris-based head of capital markets partner Roberto Cristofolini and special counsel Aurélie Pélisson. Both were assisted by London-based head of capital markets partner Peter Young and counsel Julian Walley as well as by Paris-based capital markets associate Sonia Aït-Ammar.
