Biography

Thomas Nichols practises primarily in the field of corporate finance and secured lending (on a syndicated and non-syndicated basis). He has extensive experience in sophisticated cross-border and foreign transactions. Mr. Nichols advises lenders and borrowers in financing matters relating to mergers and acquisitions, restructurings, refinancings and general operational expansions. He has been involved in transactions spanning a wide array of industries, including aerospace, pharmaceutical, real estate, oil and gas, retail and technology.

Thomas has acted for the following clients:

  • A Schedule I Bank  in establishing credit facilities to investment funds in Canada, the United States, the United Kingdom and the Cayman Islands totalling more than US$525 million to provide interim financing for capital requirements and to support investments in various infrastructure and other projects
  • A syndicate of senior lenders in the project financing of McInnis Cement Inc., a project valued at CAD$1.1 billion
  • A syndicate of senior lenders in the financing of a private-equity backed technology company, total facilities exceed CAD$1 billion
  • National Bank of Canada, as agent, in the financing of Power Sustainable Capital Inc.'s CAD$1 billion Power Sustainable Energy Infrastructure Partnership, an investment platform dedicated to developing North America's renewable energy sector
  • Transat A.T. Inc. in securing up to CAD$850 million in funding from the Canadian government through the Large Employer Emergency Financing Facility (LEEFF). In conjunction with LEEFF financing, Transat also renegotiated its existing CAD$120 million financings comprised of a senior secured revolving facility and a subordinated credit facility
  • Quebecor Inc., Quebecor Media Inc., Videotron Ltd and TVA Group Inc., in connection with their syndicated credit facilities
  • Turquoise Hill Resources in its project financing for the Oyu Tolgoi Project and bridge facilities with Rio Tinto
  • Stornoway Diamond Corporation in the restructuring of its debt with US private equity firm Orion Mine Finance, Investissement Québec, and the Caisse de dépôt et placement du Québec to fund the construction of the Renard Diamond Project, Quebec's first diamond mine
