Norton Rose Fulbright advises NOVENTI on the sale of its subsidiary NOVENTI Care to Volaris Group

Global law firm Norton Rose Fulbright has advised NOVENTI Health SE, one of the leading financial and IT service providers in the healthcare sector, on the sale of its subsidiary NOVENTI Care to Volaris Group.
NOVENTI Care is a software company that has specialised in the development and distribution of care software for over 30 years. For NOVENTI, the sale is a decisive step in the realignment and stronger focus on its own core business announced in January 2023. The Volaris Group is a buy-and-hold acquirer of software companies in various industries with the aim of strengthening the portfolio companies in their respective markets and supporting them in their growth. NOVENTI Care will continue to develop its care software under the new ownership of the Volaris Group.
The transaction comprised the sale of all shares in NOVENTI Care GmbH as well as the conclusion of various ancillary agreements, including on a transfer of employees and operations, software development and transitional services.
NOVENTI was advised on the transaction by a Norton Rose Fulbright team led by Hamburg partner Dr Heiko Bertelmann (Corporate / M&A) and counsel Dr Malte Ingwersen (Corporate / M&A, Hamburg). Heiko Bertelmann also heads the firm's Life Sciences and Healthcare practice in Germany and Europe.

Norton Rose Fulbright's German team has already advised NOVENTI on previous transactions, most recently in January 2023 on a successful refinancing of its 1.4 billion euro syndicated loan.
