German team advises private equity investor IsarCare on purchase of Burnus GmbH and Ernst Zeiss GmbH

Global law firm Norton Rose Fulbright has advised Munich-based private equity investor IsarCare Holding GmbH on the purchase of Burnus GmbH and Ernst Zeiss GmbH.

The investor Frank Heller took over the business operations of Burnus GmbH in Darmstadt and Ernst Zeiss GmbH in Zülpich/North Rhine-Westphalia, from November 1, 2022, following the transfer of ownership.

 Both companies, which will continue to operate under the name Burnus Care GmbH, supply food retailers and drugstores. The brands of the personal care products and detergent manufacturer include Kamill, burti, cliff, Glysolid and Litamin.

The acquisition includes the business operations of both companies, including the premises in Zülpich, as well as the approximately 100 employees of Ernst Zeiss GmbH and 30 employees of Burnus GmbH. The Burnus Group has been undergoing a reorganisation, as part of self-administration proceedings, since spring 2022. However, all business operations have continued during this period.

The self-administration of Burnus GmbH and Ernst Zeiss GmbH has been carried out by PLUTA Rechtsanwalts GmbH under the direction of Dr. Maximilian Pluta. The self-administrator was advised on the M&A process by One Square Advisors GmbH and Hauck Aufhäuser Lampe Privatbank AG. Dr. Andreas Kleinschmidt of White & Case acted as trustee in the proceedings. On the buyer side, advice was also provided by Saxenhammer & Co. International GmbH.
