Since joining NRF in January 2023, Niharika was involved in a range of matters:

Funds matters

• assisting fund managers for establishment of private funds in the Cayman Islands and the ADGM, including structuring advice and drafting fund documents for private equity funds, fund-of-funds and successor funds across sectors

• advising investors for secondary purchase of interests in funds of niche asset classes

• advising limited partners for restructuring of assets and interests in the fund

• advised Lionhead Resources as GP, for setting up an Irish mineral mining fund, including drafting, negotiating and finalising the fund documents, and managing the fund closing

• advised a large family office for its LP investment in a private equity fund managed by TriSpan, including reviewing, negotiating and finalising the fund documents, and managing the fund closing

• advised Mubadala Investment Company, Abu Dhabi, for its LP investment in European Sustainable Investments Fund, a Greek green-energy fund, including reviewing, negotiating and finalising the fund documents, and managing the fund closing

• leading the external closing for HSBC Climate Tech Venture Capital Fund, including finalising the fund documents and the fund closing

• advised Schroders in managing its partnership with Legal & General in relation to Bracknell Town Centre, including review of the fund documents

General Corporate, Private Equity and M&A matters

• advising international investors for their joint venture partnerships with Saudi entities operating in shipping, healthcare, infrastructure, real estate and electronics sectors, including drafting and negotiating transaction documents

• advised Brookfield for reorganisation of its portfolio entities in the UK, including drafting, revising and finalizing the transaction documents and closing the transaction

• advised Nikko Asset Management for its minority investment stake in Osmosis (Holdings) Limited, from a UK corporate law perspective, including, conducting a corporate due diligence, drafting and finalising the transaction documents and closing the transaction

• advised a UK bank in its corporate restructuring, including finalisation and execution of the transaction documents

• advised Barclays in several deal contingent transactions, including review of transaction documents
