Biography

Louis-Philippe Desjardins is an associate and a member of the Montreal office's business law group. His practice covers all aspects of corporate and commercial law, with a focus on mergers and acquisitions, franchising, capital markets and securities matters. Alongside his practice, he is currently pursuing an MBA at Université Laval to sharpen his knowledge of corporate finance and business management.

Louis-Philippe is fluent in French and English.

Mergers and acquisitions

  • Club Piscine Plus Québec C.P.P.Q. Inc., Pioneer Distribution Inc. and Pool Supplies Canada Inc., in connection with the sale of all of their issued and outstanding shares to Fulcrum Capital Partners
  • POKA Inc., with the sale of all of its issued and outstanding shares to IFS World Operations AB
  • Énergir Development Inc., in the sale of all of the issued and outstanding shares of Standard Solar Inc. to Brookfield Renewable for US$540 million
  • SNC-Lavalin, in respect of the strategic transfer of its interest in an asset held in a public private partnership (PPP), InPower BC General Partnership, an entity responsible for the construction and maintenance of the John Hart hydroelectric plant in British Columbia
  • RONA Inc., in the sale of certain establishments to dealer-owners in Quebec and Ontario and the negotiation of ancillary agreements

Corporate finance

  • Coveo Solutions Inc., with the completion of its $247 million initial public offering (IPO) targeting subordinate voting shares on the Toronto Stock Exchange and a concurrent private placement
  • Several issuers and syndicates of agents with many debt offerings carried out by such issuers as Metro Inc., Énergir, L.P. and the Canadian National Railway Company (CN)
  • CAE Inc., in connection with the upsizing, amendment and extension of its credit agreements, which include securing new commitments totalling more than US$325 million
