VerticalScope completes three strategic acquisitions of online enthusiast communities

Our Canadian and US teams acted for VerticalScope Holdings Inc. in November 2021 on the concurrent acquisitions of Hometalk, Inc., Threadloom, Inc. and The Streamable.com for aggregate consideration of up to approximately US$118.5m in cash and newly issued subordinate voting shares of VerticalScope. Based in Canada, VerticalScope is a technology company that operates a cloud-based digital platform for online enthusiast communities, with a portfolio of over 1,200 online communities and nearly 100 million monthly active users (MAU).
Hometalk, Inc. operates a network of online DIY home, cooking and fashion communities that serves over 6 million MAU. Hometalk’s R&D team is based is Israel with sales, finance and marketing teams based in the United States. VerticalScope acquired Hometalk by way of a US merger for cash consideration.
The Streamable.com, reaching over 3 million MAU in September 2021, provides a unique commerce engine for finding the best streaming service for sports, shows and movies, and makes recommendations in 28 countries on streaming services and devices. VerticalScope acquired The Streamable by way of a share purchase agreement for cash consideration.
Threadloom, Inc. has built a suite of capabilities in the forums space ranging from email newsletters and news feeds, to commerce-focused guides and product recommendations and reviews. With its expertise in user engagement, product-focused recommendations, and social shopping experiences, the Threadloom team will focus on expanding VerticalScope’s Fora platform capabilities post-closing. VerticalScope acquired Threadloom by way of a US reverse subsidiary merger for cash and share consideration.
