RBC files WKSI base shelf prospectus and MTN program supplement

Our Toronto and Montreal offices advised Royal Bank of Canada on the renewal of its base shelf prospectus that was filed on March 25, 2022, under which the bank may offer from time to time, unsecured unsubordinated debt securities, unsecured subordinated debt securities and first preferred shares. The filing represents the bank’s inaugural filing as a “well-known seasoned issuer” (“WKSI”) pursuant to the Canada Securities Administrators’ Staff Notice 44-306 – Blanket Orders Exempting Well-known Seasoned Issuers from Certain Prospectus Requirements, and is among the first WKSI filings in Canada to date.
We also advised the bank on the renewal of its medium term note (“MTN”) program supplement, under which the bank may offer from time to time, non-viability contingent capital (NVCC) subordinated debentures. The MTN program supplement was filed on March 28, 2022.
