Our Ottawa office recently advised Food Cycle Science Corporation (“FCS”), an award-winning electric food waste recycler, in its transaction with Power Sustainable Lios Inc. (“PSL”).  The transaction is a strategic investment by PSL that will accelerate FCS’ growth.

FCS designs waste solutions to transform food scraps into dry, odourless by-product that prevents methane emissions from food waste breaking down in landfills. Its partnership with PSL will be transformative to the reduction of food waste movement through enabling it to access capabilities, networks and capital needed for sustainable growth.

Our team negotiated the definitive documentation for the deal, including a share purchase agreement and unanimous shareholders agreement reflecting FCS’ post-transaction governance structure.
