Biography

Breanne Matheson is developing a broad practice in corporate and commercial law, with a focus on banking and corporate finance. Her experience includes acting for Canadian and international commercial banks and non-bank financial institutions, as well as corporate borrowers and issuers, in connection with senior and subordinated debt, asset-based facilities, syndicated financings, bridge loans, term lending, securitizations, debt capital markets transactions and other forms of debt financing. Breanne's experience includes domestic, cross-border and multi-jurisdictional financings.

Breanne joined our office as a summer student in 2020 and returned as an articling student in 2021-2022. During her articling term, Breanne completed a secondment with the legal department of Metrolinx, where she gained valuable experience working on a variety of corporate, commercial and regulatory matters.

Prior to joining our office, Breanne worked at the Bank of Montreal as part of her graduate studies in business. Throughout law school, Breanne worked with the Legal Information Society of Nova Scotia on several projects involving wills and estate planning.

Breanne has acted for the following clients:

  • Alamos Gold Inc. in connection with US$750 million senior secured credit facilities provided by The Bank of Nova Scotia

  • Canadian Imperial Bank of Commerce in connection with a senior secured asset-based credit facility in an aggregate amount of $250 million in favour of Sure Good Foods

  • Porter Airlines Inc. to negotiate financing through the Large Employer Emergency Financing Facility (LEEFF), a program instituted by the Government of Canada to provide liquidity assistance to employers affected by the COVID-19 pandemic.

  • Royal Bank of Canada in the renewals of its €60 billion global covered bond programme and various issuances in USD, CAD, EUR, GBP and AUD currencies

  • Flexiti Financial Inc. in its C$527 million securitization facility led by National Bank with financing also provided by an affiliate of Bank of Montreal and funds managed by Waterfall Asset Management
