Polizze PPI – la lettera al mercato IVASS/Banca d’Italia del 26 agosto

Introduzione
Un ulteriore tassello va ad aggiungersi al già complesso panorama delle disposizioni normative e regolamentari concernenti le polizze abbinate a finanziamenti (PPI – Payment Protection Insurance).
Facendo seguito all’incontro con il mercato del 5 giugno, lo scorso 26 agosto le Autorità di vigilanza per il settore assicurativo (IVASS) e bancario (Banca d’Italia) hanno difatti reso noto i contenuti di un documento congiuntamente predisposto ed inviato agli operatori di mercato, contenente le misure predisposte a tutela dei clienti acquirenti dei prodotti sopra menzionati.
I soggetti destinatari
Il documento è indirizzato a tutte le imprese assicurative operanti in Italia (in quanto emittenti dei prodotti e responsabili dei processi distributivi), italiane e non, nonché a tutte le banche ed agli intermediari finanziari ex art. 106 TUB iscritti alla sezione D del Registro Unico degli Intermediari Assicurativi e Riassicurativi (RUI).
Essendo il documento indirizzato a disciplinare il fenomeno delle polizze assicurative abbinate ai finanziamenti, restano apparentemente fuori dai destinatari le altre categorie di intermediari assicurativi non erogatori di finanziamenti (agenti, broker, collaboratori di questi ultimi). E’ tuttavia facile prevedere come:
- anche tali soggetti dovranno rivedere i propri processi e schemi di vendita, laddove coinvolti in eventuali catene distributive con intermediari iscritti alla sezione D del RUI;
- ciò varrà in particolare per quegli intermediari del credito (agenti in attività finanziaria e mediatori creditizi) coinvolti in entrambi i processi di collocamento.
Le criticità nel mercato PPI, come ravvisate dalle Autorità di Vigilanza
Molteplici i profili di criticità ravvisati dalle Autorità nel documento congiunto, relativi sia ai contenuti del prodotto assicurativo, sia ai processi di collocamento dello stesso, sia ad entrambi tali profili:
- La vendita di prodotti assicurativi contenenti un pacchetto di garanzie assicurative attivabili “a rotazione”, a seconda dello status di volta in volta ricoperto dall’assicurato al momento del sinistro: in proposito, le Autorità hanno sottolineato i vizi formali di tale prodotto, che ha il difetto di collocare garanzie non usufruibili da parte dell’assicurato (ad es. la garanzia contro il rischio di perdita di impiego, non usufruibile per i lavoratori dipendenti pubblici o per quelli in part-time), ma ciononostante collocate a contraenti inassicurabili, in violazione degli obblighi di valutazione di adeguatezza.
Viene dunque trascurato un approccio più sostanziale, che avrebbe potuto valorizzare la flessibilità del pacchetto di garanzie “a rotazione”, in grado di fornire copertura qualsivoglia sia lo stato dell’assicurato al momento del sinistro: caratteristica di certo non trascurabile, in un’epoca in cui la mobilità del mondo del lavoro è accentuata e rende difficile (specie per le nuove generazioni) garantire uno status lavorativo in modo definitivo e la vendita di una garanzia perdita d’impiego su base stand alone presenta costi molto elevati. - La commercializzazione di prodotti caratterizzati da numerose esclusioni, periodi di franchigia e di carenza estesi e cumulati tra loro, durata o importo delle rate indennizzabili non allineati ai contenuti del finanziamento: si tratta, evidentemente, di considerazioni principalmente rivolte alle imprese e relative all’estensione stessa della copertura assicurativa, volte ad un riequilibrio delle prestazioni contrattuali a favore del cliente assicurato.
- La dichiarazione di buona salute: al riguardo, le Autorità hanno contestato al mercato la prassi di eccepire solo in fase di sinistro i profili di inassicurabilità ovvero di esclusione delle garanzie, che invece sarebbero emersi in fase assuntiva laddove il contraente avesse compilato un questionario assuntivo ed acquisito una maggiore consapevolezza in merito alle dichiarazioni rese sul proprio stato di salute.
Anche a tal proposito, l’approccio sembra essere molto formale ed estremamente protettivo per il consumatore, anche al di là del dettato del Codice Civile, che pone sul contraente e sull’assicurato l’onere di fornire una descrizione corretta e completa del rischio che si intende assicurare, costituendo il questionario assuntivo soltanto un’agevolazione di tale obbligo, messa a disposizione dall’assicuratore: sul punto le Autorità sembrano dunque sposare quel filone giurisprudenziale secondo il quale l’assicuratore ha il dovere di cooperare con l’assicurato nell’adempimento dei propri obblighi, orientando l’assicurato sulle informazioni da fornire, per il tramite di un apposito e dettagliato questionario anamnesico. - Il mancato rimborso automatico della porzione di premio non goduto, in caso di anticipata cessazione del finanziamento: su questo punto i vari interventi legislativi e regolamentari avrebbero dovuto chiarire i meccanismi di funzionamento del rimborso; si segnala come non manchino tuttora incertezze, in particolare per quanto concerne le interferenze con la disciplina del credito al consumo.
- La vendita combinata di polizze e finanziamenti, a detta delle Autorità gli elevatissimi tassi di penetrazione assicurativa (anche superiori all’80%) sarebbero sintomatici di un’obbligatorietà di fatto dei prodotti assicurativi ai fini dell’erogazione del finanziamento (obbligatorietà confermata dal mistery shopping condotto dalle associazioni dei consumatori): le Autorità non chiariscono come esattamente i dati siano stati calcolati (ad es. se siano stati considerati tutte le tipologie di prodotti assicurativi alternativamente collocati con i finanziamenti), ma è verosimile attendersi che la soglia dell’80% incidenter tantum menzionata nel documento divenga d’ora in avanti un punto di riferimento per il mercato.
- Il mancato assolvimento degli obblighi in materia di valutazione di adeguatezza, con conseguente collocamento nei confronti di soggetti non assicurabili.
- una struttura dei costi delle polizze PPI troppo elevata, alla luce del livello di commissioni attribuito agli intermediari, specie ove comparato ala alla bassa qualità dei servizi evidenziata dalle ispezioni in corso.
Le indicazioni per le imprese e gli intermediari
Sulle premesse di cui sopra, esercitando la propria moral suasion nonché le prerogative concesse dalla legge di esercitare le proprie funzioni anche mediante provvedimenti di soft law, le Autorità hanno elaborato le indicazioni che si attendono siano implementate dagli operatori di mercato, al fine di allineare le garanzie alle reali esigenze di copertura dei rischi e strutturare processi distributivi improntati a canoni di correttezza sostanziale:
a. l’abbandono del modello “one size fits all” tipico delle polizze con pacchetti di garanzie rotanti, ma calibrate rispetto alle caratteristiche della clientela. Si tratta di un cambiamento importante rispetto alla prassi attuale del settore, che darà probabilmente vita a prodotti riservati a segmenti specifici ed omogenei di clientela, piuttosto che a prodotti “modulari”.
b. una revisione attenta delle polizze, volte al riequilibrio delle garanzie contrattuali a favore del contraente, mediante:
- il contenimento delle limitazioni inserite nelle polizze PPI (durata, esclusioni, rivalse, carenze, franchigie), con un allineamento più puntuale a quanto previsto nel contratto di finanziamento ed al relativo numero di rate, e
- l’estensione anche alle polizze danni del diritto di recesso entro 60 giorni dalla stipula, da indicarsi (sul modello del protocollo d’intesa ABI/ASSOFIN/Associazioni dei consumatori) sia nella documentazione contrattuale, sia nella welcome letter successiva;
c. una revisione dei processi assuntivi, che comporti:
- una specifica intervista al cliente ai fini della rivelazione dello stato di salute, che porti all’assunzione di un questionario sanitario ovvero (per i finanziamenti di importo più piccolo) alla irrilevanza delle malattie pregresse. Per i finanziamenti di importo “molto esiguo” (ma di soglia indefinita) le Autorità lasciano aperta la possibilità che le imprese decidano di non procedere alla valutazione dello stato di salute tramite questionario, attendendosi tuttavia che a ciò corrisponda la non inclusione dello stato di salute tra le condizioni di assicurabilità e delle malattie pregresse nelle esclusioni di polizza;
- procedure di verifica del rispetto, da parte della rete distributiva, delle indicazioni fornite dalle imprese in merito ai target delle diverse tipologie di prodotti (sì da evitare fenomeni di misselling), i controlli circa l’assicurabilità dei rischi e l’adeguatezza del prodotto rispetto alle esigenze del cliente;
- separazione della documentazione relativa ai finanziamenti da quella relativa al prodotto assicurativo, con distinta indicazione dei relativi costi. Tale separazione dovrà essere mantenuta anche nella fase esecutiva del rapporto, mantenendo distinto l’importo della rata da quello del premio dovuto;
- la definizione di tempi e modalità di offerta dei prodotti assicurativi, tali da evitare condizionamenti del cliente nella fase di negoziazione del finanziamento: l’indicazione è volutamente generica nel suo portato, volendo far intendere la possibilità che si vada verso un vero e proprio divieto di collocamento contestuale dei due prodotti, conformemente all’esperienza di altri paesi.
d. l’applicazione di talune misure “retroattive” rispetto al portafoglio dei clienti esistenti, relative a:
- il rimborso del premio a favore di quei soggetti per i quali il prodotto risulta essere inadeguato, per l’inassicurabilità del cliente (ipotesi evidentemente diversa da quella inassicurabilità relativa che possa riguardare le garanzie “a rotazione”, oggetto di altre e specifiche indicazioni da parte delle Autorità),
- il recepimento dei meccanismi di rimborso automatico dei premi non goduti anche nei contratti antecedenti l’entrata in vigore del decreto legge Sviluppo-bis (D.L. 18 ottobre 2012, n. 179 ,convertito in Legge 17 dicembre 2012, n. 221),
- l’accoglimento di quei sinistri relativamente a quelle polizze PPI per le quali gli assicurati non siano stati in grado di esprimere compiutamente la loro situazione sanitaria pregressa, avendo sottoscritta una dichiarazione di buona salute, e relativamente alle quali siano insorte delle contestazioni tra imprese ed assicurati.

Le indicazioni delle Autorità, secondo quanto enunciato nel provvedimento, dovranno essere recepite in:
- apposite procedure da applicare in fase di gestione dei reclami ovvero dei sinistri, da parte dell’organo amministrativo delle imprese assicurative,
- un piano di implementazione delle indicazioni, adottato a cura dell’organo amministrativo delle imprese assicurative e sottoposto al relativo organo di controllo entro 90 giorni dal provvedimento, e da realizzarsi nei successivi 90 giorni, e
- un piano da adottarsi a cura degli intermediari iscritti alla sezione D del RUI.
Conclusioni
L’intervento delle Autorità di Vigilanza si inserisce nel filone, consolidato già da qualche anno (si vedano i vari decreti D.L. 24 gennaio 2012 n. 1, convertito in Legge 24 marzo 2012 n. 27, c.d. Sviluppo Italia e D.L. 18 ottobre 2012, n. 179, convertito in Legge 17 dicembre 2012, n. 221), che ravvisa nelle Polizze PPI uno degli ambiti principali su cui intervenire, al fine di abbassare i costi di accesso al credito ed al contempo di recuperare disponibilità finanziarie utili alla ripresa dei consumi.
Costituisce la naturale conseguenza rispetto ad un certo atteggiamento di una parte minoritaria del mercato ad eludere i meccanismi via via elaborati dalle Autorità di Vigilanza al fine di riequilibrare le posizioni contrattuali delle parti, sulla falsariga di quanto avvenuto nel mondo anglosassone.
Non mancano tuttavia diversi spunti di riflessione circa gli indirizzi espressi dalle Autorità:
- le diverse criticità ravvisate rispetto alle strutture contrattuali utilizzate non potranno non alterare l’intero equilibrio contrattuale delle polizze PPI attualmente commercializzate, in primis per quanto concerne il livello dei premi (che dovranno essere conseguentemente rivisti, in particolare per la garanzia perdita d’impiego, nonché in conseguenza dell’allineamento della durata della polizza a quella del finanziamento e dell’ambito della copertura a tutte le rate oggetto del finanziamento), con effetti che non è chiaro quanto siano stati effettivamente misurati;
- esulando la materia contrattuale dalla competenza delle Autorità, ci si domanda se la tutela dell’interesse dei clienti dovesse essere valutata non su un piano generale ed astratto, ma caso per caso, nella sede giudiziaria competente a valutare le azioni intraprese dalle associazioni dei consumatori per la tutela degli interessi collettivi (art. 140 del Codice del Consumo);
- alcune delle modifiche proposte appaiono tali da richiedere un intervento a livello di norme primarie, andando ad incidere direttamente sui meccanismi previsti dal Codice Civile: ci si riferisce in particolare alla dichiarazione di buona salute (per la quale si ha una sostanziale inversione dell’onere della prova rispetto a quanto previsto agli artt. 1892 ss.) ed all’irrilevanza delle malattie pregresse per i finanziamenti di importo minore (non definiti);
- la sostanziale rivisitazione dei testi di polizza in conformità alle indicazioni delle Autorità (anche per quanto concerne le rate oggetto di copertura e dunque l’esposizione delle imprese sul rischio), seppur attraverso il filtro del piano che l’organo amministrativo delle imprese dovrà sottoporre all’organo di controllo delle stesse, rischia di scontrarsi col principio di libertà delle forme contrattuali sancito dal diritto comunitario (che vieta l’approvazione dei testi di polizza) e rende dubbia la tipologia di sanzioni che le Autorità potranno implementare in caso di mancato recepimento delle indicazioni sui testi di polizza;
- non è chiaro attraverso quali strumenti verrà realizzato il controllo relativo alla struttura dei costi delle polizze PPI: fermo il principio comunitario di libertà di determinazione del corrispettivo provvigionale, appare difatti molto difficile riuscire a contestare il livello di provvigioni convenuto tra le parti, anche in presenza di inadempimenti da parte dell’intermediario (che potranno al più giustificare il pagamento di una penale);
- parimenti, non è chiaro attraverso quali strumenti si possa pretendere ed imporre la liquidazione di sinistri altrimenti da respingersi sulla base delle condizioni contrattuali, peraltro andando a minare la stabilità stessa dell’impresa assicurativa.
- infine, i termini previsti per la predisposizione del piano di implementazione delle indicazioni e, soprattutto, per la sua realizzazione, appaiono alquanto ristretti, ove solo si considerino le rilevanti modifiche ai sistemi informativi ed ai processi che le imprese e le reti distributive saranno tenute ad adottare in recepimento dei contenuti del provvedimento.
