Biography
Kassy Corothers practises corporate and securities law, with an emphasis on public and private mergers and acquisitions and corporate finance. Her corporate finance practice includes a variety of transactions for both underwriters and issuers in connection with public and private equity and debt financings as well as project finance matters. She also assists clients with corporate governance, continuous disclosure and securities regulatory advice. Kassy also has experience advising clients on shareholder activist and defence mandates.
She joined our Toronto office as a summer student in 2012 and moved to our Calgary office as an associate in 2017.

Kassy has acted in the following matters:
- Parkland Corporation, in dealings with its major shareholder, Simpson Oil, and activist investor, Engine Capital, together with other corporate matters
- TransAlta Corporation on its acquisition of TransAlta Renewables Inc. by way of a plan of arrangement for a transaction value of $1.4 billion
- Enerflex Ltd. on its acquisition of Exterran Corporation to create a combined entity with an enterprise value of approximately US$1.5 billion
- Serafina Energy in its estimated $2.3 billion corporate sale transaction to Strathcona Resources Ltd.
- Tervita Corporation in a number of transactions, including: (i) its $2.3 billion business combination transaction with Secure Energy Services; (ii) its refinancing of US$500 million offering of notes and concurrent tender offer for US$590 million of notes; and (iii) its $490 million acquisition of Newalta Corporation, concurrent public listing of Tervita and $250 million notes refinancing
- Royal Bank of Canada on the issuance by Northern Courier Pipeline Limited Partnership of C$1 billion of 3.365% first-lien senior secured notes
- Special committee of the board of directors of WestJet in connection with the sale of WestJet to Onex for approximately C$5 billion
- Gibson Energy on its debt financing of US$350 million and related tender offer for two series of outstanding notes
- A number of shareholder activism mandates, acting both for issuers and shareholder activists
- Graphic Packaging in its acquisition of Cascades Inc.'s North American boxboard manufacturing and converting assets
