Biography

Cole Chase is a capital markets lawyer based in London.

Cole acts for investment banks, corporates and sovereign issuers on a wide range of cross-border capital markets transactions. His practice focuses on investment grade offerings, sovereign bonds, high-yield bonds, MTN programmes, commercial paper programmes and liability management transactions.

  • the update of the U.S.$6 billion Euro Debt Issuance Programme of the Province of British Columbia, which is listed on the Euro MTF
  • the update of the U.S.$20 billion Euro Note Programme of Bank of Montreal, which is listed on the London Stock Exchange
  • the update of the U.S.$10 billion Euro Note Programme of National Bank of Canada, which is listed on the Luxembourg Stock Exchange

  • Advised BMO Capital Markets and RBC Capital Markets on the issuance of €100 million fixed rate notes by the Province of British Columbia on the Luxembourg Stock Exchange
  • Advised BMO Capital Markets and NatWest on the issuance of €500 million floating rate notes by the Bank of Montreal on the London Stock Exchange
  • Advised The Toronto-Dominion Bank, Mizuho, MUFG, Nomura and SMBC Nikko on the inaugural triple-tranche issuance of ¥10.2 billion, ¥20 billion and ¥11 billion fixed rate senior notes by The Toronto-Dominion Bank
  • Advised BMO Capital Markets, BNP Paribas, Deutsche Bank, Natixis, Nomura and other underwriters on the issuance of €1 billion floating rate notes listed on the London Stock Exchange by the Bank of Montreal
  • Advised Credit Agricole, Deutsche Bank, HSBC, J.P. Morgan and RBC Capital Markets on the issuance of €2.25 billion fixed rate notes listed on the Luxembourg Stock Exchange by the Province of Québec

Standalone Issuances:

  • Advised Ecobank on its innovative sustainability US$350 million Tier 2 10 year no-call 5 bond issuance listed on the London Stock Exchange (a market first for the sub-Saharan African region)
  • Advised RBC Capital Markets on the issuance of €100 million fixed rate notes on the London Stock Exchange by the Province of Alberta, the first such listing in reliance of PRR 1.2.2 / Article 1 (2)(b) of the UK Prospectus Regulation by the Province of Alberta

Liability Management:

  • Advised MRG Finance UK plc in respect of the noteholder meetings to amend €50 million fixed rate notes issued by MRG Finance UK plc
  • Advised The Bank of Nova Scotia in respect of the LIBOR transition consent solicitation relating to £550 million of covered bonds (the first of such consent in Canada)
  • Advised NatWest Markets and Toronto Dominion Securities as solicitation agents in respect of the LIBOR transition consent solicitation relating to £500 million of floating rate covered bonds issued by The Toronto-Dominion Bank
