Biography

Roger Bill is a lawyer in the business law group in our Montréal office. He focusses on corporate and commercial law, as well as on environmental, energy and natural resources law.

Roger has wide-ranging experience in matters related to project development and transactions carried out in regulated industries. In the context of transactions and project development, he also advises on a wide range of commercial and regulatory matters relating to mining, natural resources, energy as well as industrial and infrastructure projects.

In his commercial law practice, he has worked on a broad range of transactions, including private mergers and acquisitions, commercial agreements, and a range of secured financings.

Roger practises in English, French and Spanish, and has a working knowledge of Portuguese.

  • The shareholders of Mistplay, a mobile game discovery platform in connection with a definitive agreement with GrowthCurve Capital under which GrowthCurve became the majority shareholder of Mistplay
  • Namakor Holdings, in connection with its strategic acquisition of Crawler Mulching Industries Danri Inc., a manufacturer of tracked mulching tractors and stump grinders for the forestry and agricultural sectors
  • De Havilland Aircraft of Canada, holding company of Longview Aviation Capital Corp., in connection with its acquisition of Mid-Canada Mod Centre and Avionics Design Services
  • Muhr und Bender KG, doing business under the Mubea brand, in connection with its acquisition of Cyclone Manufacturing Inc. a manufacturer of aerostructures for the aerospace industry
  • Thrust Capital Partners, in connection with its acquisition of all the issued and outstanding shares of DCM Group Inc., a leading Quebec manufacturer serving mainly the aviation and aerospace sectors
  • Represented a syndicate of underwriters in connection with specialized diligence and regulatory compliance matters regarding the overall financing of some US $1.1 B by Nemaska Lithium Inc., for its Whabouchi lithium mine and its electrochemical plant in Shawinigan, QC
  • Represented an oil and gas refiner in the disposition of petroleum terminal assets
  • Represented an oil and gas major on regulatory and real property matters in the proposed development of an interprovincial pipeline
  • Represented a renewable energy producer in the context of a proposed joint venture for developing a new co-gen facility
