Naast vragen die opgeworpen kunnen worden omtrent technologische implementatie en toepassingsgebied, doet omdat de term ‘Smart Contract’ het woord ‘contract’ bevat zich wellicht eerst al de vraag voor hoe een Smart Contract juridisch geduid dient te worden. De term ‘contract’ wordt in technologische kringen ook wel gebruikt om een twee- of meerzijdige mutatie op een distributed ledger aan te duiden die niet noodzakelijkerwijs een meer verder strekkende rechtsverhouding impliceert. Kan een Smart Contract echter ook een in rechte afdwingbare overeenkomst vormen?
Er zijn verschillende opvattingen over de mate waarin Smart Contracts ook daadwerkelijk schriftelijke overeenkomsten zouden kunnen vervangen. Deze opvattingen variëren van de opvatting dat de gehele overeenkomst in computercode vervat kan worden aan de ene kant van het spectrum (de ‘code is contract’-benadering), tot de opvatting dat een Smart Contract slechts een programmering zal zijn ter automatisering van de nakoming van een overeenkomst die op meer traditionele wijze tot stand is gekomen.4
Om de vraag te beantwoorden of een Smart Contract ook een in rechte afdwingbare overeenkomst kan vormen dient vanuit Nederlandsrechtelijk perspectief gekeken te worden naar de vereisten die het Nederlands recht aan de totstandkoming van een (civielrechtelijke) overeenkomst stelt.
De verbintenissen die partijen in een overeenkomst op zich nemen dienen voldoende bepaalbaar te zijn. Als niet bepaalbaar is waartoe partijen verplicht zijn, kan geen sprake zijn van een overeenkomst. Aan die bepaalbaarheid dienen overigens niet al te strenge eisen gesteld te worden.5 Aannemelijk lijkt dat ten minste voor wat betreft de hoofdverplichtingen van partijen bij een financiële transactie deze met voldoende bepaalbaarheid in code te programmeren zijn. Het is immers juist de bedoeling bij een Smart Contract dat de nakoming van de overeenkomst automatisch plaatsvindt.
Wil naar Nederlands recht een in rechte afdwingbare overeenkomst tot stand komen dan dient er tussen een of meer partijen wilsovereenstemming aangetoond te worden die tot stand is gekomen door aanbod en aanvaarding, althans door op elkaar aansluitende geopenbaarde verklaringen van wil op een bepaald rechtsgevolg. Aanbod en aanvaarding zijn in beginsel vormvrij.6 Niet noodzakelijk is dat de verklaringen in tijd te onderscheiden zijn zodat één partij aan te duiden is als de aanbieder en de andere als aanvaarder, mits uit de omstandigheden maar blijkt dat er wilsovereenstemming was.7 Voorts dient wilsovereenstemming aangetoond te worden op grond van de wils- en vertrouwensleer. Dit houdt in dat er, mocht er geen daadwerkelijke wilsovereenstemming aangetoond kunnen worden, die er toch geacht zal worden te zijn als een der partijen een tot hem of haar gerichte verklaring redelijkerwijs als een op zijn verklaring aansluitende wilsverklaring mocht opvatten. Dat geldt zowel ten aanzien van de vraag of de verklaringen op elkaar aansluiten als de vraag of er sprake was van wil om aan die verklaring rechtsgevolg te verbinden.
Tegen die achtergrond lijkt het aantonen van het vereiste van op elkaar aansluitende verklaringen niet zonder meer problematisch in systemen zoals worden voorgesteld voor de implementatie van Smart Contracts. Dit aangezien door middel van distributed ledger-technologie waarin door middel van cryptographische consensus algoritmen, overeenstemming wordt vastgesteld. De vraag of er bij een dergelijke automatische vaststelling van overeenstemming sprake is van een aan de achterliggende partijen toe te rekenen op rechtsgevolg gerichte wil is wellicht genuanceerder.
Mocht er sprake zijn van een beweerdelijk wilsgebrek bij één van de partijen dan kan alleen een overeenkomst tot stand zijn gekomen indien de (automatisch gegenereerde) verklaringen namens die partij in het systeem aan die partij kunnen worden toegerekend en de wederpartij geacht mag worden gerechtvaardigd te zijn in het vertrouwen dat een op die verklaringen aansluitend rechtsgevolg gerichte wil bij de relevante partij aanwezig was. Dit geldt des te meer ten aanzien van automatische totstandkoming van vervolgovereenkomsten.
Er zijn meerdere benaderingen mogelijk om tot een dergelijke toerekening te komen. Zo zou het programma dat de totstandkoming van het Smart Contract namens een partij als vertegenwoordiger beschouwd kunnen worden van die partij. Dat ligt in ieder geval vanuit Nederlandsrechtelijk perspectief niet voor de hand omdat dat zou impliceren dat het programma handelt als een zelfstandig rechtssubject. Meer voor de hand lijkt te liggen dat de door een systeem namens een gebruiker van dat systeem automatisch gegenereerde verklaringen voor risico dienen te komen van die gebruiker zodat de wederpartij op die verklaringen mag vertrouwen.8 Dat is echter nog geen uitgemaakte zaak.
Naast algemene totstandkomingsvereisten van overeenkomsten gelden er voor sommige typen overeenkomsten vormvereisten zoals een vereiste dat de overeenkomst alleen bewezen kan worden door middel van een geschrift of een ondertekend geschrift. Ten aanzien daarvan biedt de wet aanknopingspunten sinds de implementatie van verschillende richtlijnen.
Zo bepaalt artikel 6:227a van het Burgerlijk Wetboek dat is ingevoerd ter implementatie van de Richtlijn inzake Elektronische Handel9 dat een overeenkomst die langs elektronische weg tot stand is gekomen aan een eventueel gesteld schriftelijkheidsvereiste voldoet indien die: (i) raadpleegbaar is door partijen; (ii) de authenticiteit van de overeenkomst in voldoende mate is gewaarborgd; (iii) het moment van totstandkoming; en (iv) de identiteit van partijen met voldoende zekerheid kunnen worden vastgesteld. Een diepgaande analyse van die vereisten gaat het bestek van dit artikel te buiten. Echter, een op een distributed ledger vastgelegd Smart Contract lijkt in theorie aan al die vereisten te kunnen voldoen. Ten aanzien van een volledig in code vervatte overeenkomst kan men zich afvragen of die wel raadpleegbaar geacht kan worden als die niet door niet in programmeertaal onderlegde partijen leesbaar is.
Ten aanzien van vereisten van ondertekening bepaalt artikel 3:15a van het Burgerlijk Wetboek dat is ingevoerd ter implementatie van de Richtlijn inzake Elektronische Handtekeningen10 dat een elektronische handtekening aan dat vereiste kan voldoen mits aan daar gestelde vereisten is voldaan. Het is aannemelijk dat de cryptografische middelen die in gebruik zijn daaraan voldoen.
