ELTIF – Im zweiten Anlauf zum Ziel?

Überblick
European Long-Term Investment Funds (ELTIF) wurden erstmals durch die Verordnung (EU) 2015/760 (ELTIF-VO) europaweit einheitlich geregelt und sollten dem Ziel einer hohen Beschäftigung und Wettbewerbsfähigkeit der europäischen Union (Europa 2020) Rechnung tragen. Dafür sollte eine Anlagemöglichkeit geschaffen werden, die es Kleinanlegern und professionellen Anlegern ermöglicht, in Infrastrukturprojekte, nicht börsennotierte und kleine und mittlere börsennotierte Unternehmen (KMU) zu investieren, die Eigenkapitalinstrumente oder Schuldtitel auflegen, für die es keinen leicht zu identifizierbaren Abnehmer gibt (Verordnung (EU) 2015/760, Erwägungsgrund Nr. 6). Dabei kam es dem Verordnungsgeber vor allem darauf an, eine flächendeckende Kapitalbeschaffungsmöglichkeit für die Realwirtschaft und gleichzeitig insbesondere Kleinanlegern einen Marktzugang zu diesen Anlageklassen zu schaffen. Definitorisch sind ELTIFs als EU-AIF (Europäische Alternative Investmentfonds) anzusehen und werden von zugelassenen Verwaltern alternativer Investmentfonds (AIF-Verwalter) verwaltet.
Besonders hervorzuheben ist, dass AIF-Verwalter einen ELTIF nach dessen Zulassung europaweit an Kleinanleger vertreiben können. Eine solche Möglichkeit ohne weitere Anzeigen ist nach dem KAGB grundsätzlich AIF-Verwaltern für Spezialfonds vorbehalten, die ausschließlich an (semi-) professionelle Anleger vertrieben werden.
Am 20. März 2023 wurde nun die neue Verordnung (EU) 2023/606 zur Änderungen der ELTIF-VO im Amtsblatt veröffentlicht, die das ELTIF-Regime grundlegend umgestaltet.
Was sind die Gründe für die bislang geringe Akzeptanz des ELTIF?
Bei Erlass des ursprünglichen Verordnungstextes wurde ein Hauptaugenmerk auf den Anlegerschutz gelegt. Neben spezifischen anlegerschützenden Regelungen sollte insbesondere auch das Ausfallrisiko durch strenge Anforderungen an die Anlageinstrumente und die Zusammensetzung der Portfolios gering gehalten werden. Mit diesen Regelungen schossen die Gesetzgeber allerdings über das Ziel hinaus, es wurden kaum Anleger gefunden, die in ELTIFs investierten und überhaupt zu schützen gewesen wären. Insbesondere für sog. Kleinanleger wurden nämlich derart hohe Eintrittshürden gestellt, dass es lediglich einem kleinen Kreis von Personen innerhalb der EU vorbehalten war, in ELTIFs investieren zu können. So müssen Kleinanleger nach ursprünglichen Verordnungstext noch mindestens EUR 10.000 in einen ELTIF investieren. Gleichzeitig darf dieses Investment höchstens 10% ihres Portfolios ausmachen. Das bedeutet, dass der Kleinanleger mindestens einen Portfoliowert in Höhe von EUR 100.000 nachweisen muss, um überhaupt in ELTIFs investieren zu können. Aus diesem Wert sind sodann noch solche Finanzinstrumente herauszurechnen, die der Kleinanleger als Sicherheiten hinterlegt hat.
In Zahlen ausgedrückt hatte das zur Folge, dass seit 2015 erst 85 ELTIFs aufgelegt wurden (ELTIF-Register der ESMA). Das Nettovermögen bestehender ELTIF wurde von der Europäischen Kommission für das Jahr 2021 auf EUR 2,4 Mrd. geschätzt. (Verordnung (EU) 2023/606 Erwägungsgrund Nr. 1.) Zum Vergleich: Das in Europa verwaltete Vermögen von ETF (Exchange Traded Funds) belief sich 2021 bereits auf USD 1.506 Mrd..
Zeitrahmen der Neuregelungen
Um das Instrument des ELTIF der breiteren Massen zugänglich zu machen, wurde somit eine Verordnung zur Änderung der ELTIF-VO beschlossen, die am 20. März 2023 im Amtsblatt der Europäischen Union veröffentlicht wurde, am 10. April 2023 in Kraft tritt und ab dem 10. Januar 2024 gilt. Ein vor dem 10. Januar 2024 zugelassener ELTIF kann jedoch bereits vorher entscheiden, den neuen Regelungen zu unterfallen, sofern die zuständige Behörde des ELTIF hiervon unterrichtet wird. Auf der anderen Seite bestehen auch Übergangs-, bzw. Bestandsregelungen für bereits vor dem 10. Januar 2024 aufgelegte ELTIF.
Was wird sich zukünftig ändern?
Insgesamt lässt sich konstatieren, dass die Anlageklasse durch die weitreichenden Änderungen der ELTIF-VO deutlich an Attraktivität gewinnen wird, da einige der teils sehr hohen Anforderungen wegfallen. AIF-Verwalter sollten die neuen Regeln vorwiegend begrüßen, allerdings gilt es, diese nun schnellstmöglich in ihre Prozesse einzuarbeiten.
(a) Sachwert
Zunächst wurden erhebliche Änderungen an den Voraussetzungen, die an einen Sachwert zu stellen sind, vorgenommen. Grundsätzlich hatte ein Sachwert bisher seiner Art oder seinem Ziel nach nachhaltig zu sein. Während im ursprünglichen Verordnungstext noch ein wirtschaftlicher oder sozialer Nutzen gefordert wird, verschwindet dieser Definitionsteil gänzlich aus dem angepassten Text. In der Gesetzesbegründung der Änderungsverordnung ist nachzulesen, dass sich die Zulässigkeit eines Sachwerts zwar nicht mehr nach Umwelt-, Sozial- oder Unternehmensführungsfragen richtet. Allerdings sind die Offenlegungspflichten aus den Verordnungen EU 2019/2088 (SFDR) sowie EU 2020/852 (Taxonomie-VO) zu beachten. Daraus lässt sich schließen, dass den ELTIF, der in Sachwerte investiert, nach wie vor Offenlegungspflichten treffen, die Zulässigkeit seiner Investition aber nicht mehr an dessen Nachhaltigkeit bemessen werden soll. Die ELTIF-VO gibt insofern keine zwingende Einordnung eines ELTIF als Instrument im Sinne von Art. 8 oder gar 9 der SFDR vor. Die ELTIF-VO gibt somit zumindest in Teilen den Charakter einer zwingend „nachhaltigen“ Anlageklasse auf. Die einzige Anforderung an den Sachwert (in der englischen Fassung „real asset“), die sich direkt aus der Definition ergibt, ist, dass dieser „aufgrund seiner Beschaffenheit und seiner Eigenschaften“ nach zwingend „einen Ertragswert“ haben muss. In der Vorfassung war noch darauf abzustellen, dass der Sachwert einen „Wert hat und eine Rendite abwerfen kann“. Fraglich ist, ob durch die Verwendung des Begriffs „Ertragswert“ (in der englischen Fassung jedoch: „intrinsic value“) tatsächlich nur solche Anlageklassen erfasst werden sollen, die selbst einen „Ertrag“ erwirtschaften. In Erwägungsgrund 6 der Änderungs-VO wird nämlich lediglich ein „Wert“ und kein „Ertragswert“ gefordert. Damit sind nicht bewertbare Sachwerte als zulässige Vermögensgegenstände ausgeschlossen, dies in Einklang mit den allgemeinen Grundsätzen im Fondsbereich. Aufgrund der Formulierung der Definition Sachwert ist jedoch unklar, wie weit der Begriff weiter einschränkend ausgelegt werden muss oder kann.
Insgesamt vergrößert sich das Spektrum möglicher Investitionen für ELTIFs deutlich. Dazu trägt auch die Aufhebung der Mindestanforderung bei, dass ein einzelner Sachwert mindestens EUR 10 Mio. wert sein musste. Die Zulässigkeit eines Sachwertes soll nicht mehr von dessen Wertigkeit abhängen.
Zudem soll der Begriff des „Sachwerts“ weit ausgelegt werden, so sollen nach Erwägungsgrund 7 der Änderungs-VO auch ausdrücklich Investitionen in immaterielle Güter wie Wasserrechte, Waldrechte, Abschürfrechte sowie Investitionen in grüne Anleihen ermöglicht werden, wenn eine Direktinvestition in Sachwerte nicht möglich oder unwirtschaftlich wäre. Der Text der VO selbst greift dies nicht ausdrücklich auf. Dagegen bleiben Sachwerte, die keine langfristige Investitionen in die Realwirtschaft darstellen wie Wein, Kunst oder Schmuck weiterhin unzulässig.
Die Anpassungen innerhalb der Verordnung führen dazu, dass deutlich geringere Anforderungen an zulässige Sachwerte zu stellen sind. Den AIF-Verwaltern wird es dadurch ermöglicht, in ein erweitertes Spektrum von Sachwerten zu investieren.
(b) Qualifizierte Anlagevermögenswerte
Neben der Anpassung des Sachwertebegriffs wurde auch der Anwendungsbereich für langfristige Investitionen in Unternehmen deutlich erweitert.
- Zunächst wurde das strikte Verbot, in Finanzunternehmen zu investieren, gelockert, um die Möglichkeit zu schaffen, in FinTechs zu investieren. Daher soll auch ein Finanzunternehmen ein zulässiges Investment in Forme eines „qualifizierten Unternehmens“ im Sinne des Art. 11 ELTIF-VO sein, jedoch nur soweit es sich nicht um eine Finanzholding oder gemischtes Unternehmen handelt und dessen Registrierung bzw. Zulassung nicht länger als fünf Jahre zurück liegt.
- ELTIFs sollen zudem Investitionen in börsennotierte KMU fördern, die aus verschiedenen Gründen Schwierigkeiten mit der Finanzierung haben. Eine Investition in solche Unternehmen war bislang aber nur möglich, soweit diese eine maximale Marktkapitalisierung in Höhe von EUR 500 Mio. aufwiesen. Solche Unternehmen sind aber nur sehr eingeschränkt liquide und ELTIFs könnte es schwer fallen, ausreichende Positionen in den Unternehmen aufzubauen. Um Investitionen in größere Unternehmen zu ermöglichen und dabei den Kreis der qualifizierten Portfoliounternehmen zu erweitern, wurde die Grenze auf EUR 1.5 Mrd. angehoben.
- Weiterhin sollen Dachfondsstrategien gestärkt werden. So wird es ELTIFs nunmehr erlaubt sein, in OGAW-Fonds zu investieren. OGAW-Fonds ist es erlaubt, in Wertpapiere von großen Unternehmen zu investieren, die die vorgegebene Höchstgrenze der Marktkapitalisierung überschreiten. Um eine dahingehende Umgehung der Anlagevorgaben zu verhindern, muss eine Durchschau auf die Vermögenspositionen des OGAW erfolgen. Für die Berechnung der Obergrenzen für Vermögenswerte (Art. 13 ELTIF-VO) und Barkreditaufnahmen (Art. 16 ELTIF-VO) werden die direkt gehaltenen Vermögenswerte des ELTIF und die des OGW daher kombiniert betrachtet.
- Außerdem wird ELTIF ermöglicht werden, Master-Feeder Strukturen zu nutzen, indem Feeder-ELTIF in Master-ELTIF investieren.
(c) Diversifizierung / Portfoliozusammensetzung
Hinsichtlich der Portfoliozusammensetzung wurden die Vorgaben an die Eigenarten der Zielinvestments angeglichen. So sind diese oft wenig liquide und es kann zu Schwierigkeiten führen, Rücknahmeforderungen nachzukommen oder Barkredite als Anlageform bereitzustellen, wenn die bisherigen Anlagevorgaben beibehalten worden wären. Folglich wurde die Quote von 70%, die in zulässige Anlageformen investiert werden muss, als zu hoch eigeschätzt und auf 55% korrigiert. Weiterhin wurden die Diversifizierungsquoten angepasst. So darf ein einzelner Sachwert zukünftig beispielsweise 20% des Gesamtportfolios ausmachen anstatt lediglich 10%. Weiterhin wurde die Möglichkeit eröffnet, in einfache, transparente und standardisierte Verbriefungen zu investieren, deren Anteil am Portfolio zukünftig ebenfalls 20% ausmachen darf. Richtigerweise wird zukünftig zwischen ELTIF die ausschließlich professionellen Anlegern angeboten werden und solchen, die auch an Kleinanleger gerichtet sind, unterschieden. „Professionelle Anleger“ sind dabei solche, deren Portfoliowert den Betrag von EUR 500.000 überschreiten. So haben professionelle Anleger einen größeren Anlagehorizont und sind auch bereit, höhere Risiken einzugehen. Letztlich sind sie auch nicht ebenso schützenswert wie Kleinanleger, sodass für ELTIFs, die sich ausschließlich an professionelle Anleger richten, die Diversifizierungsvorgaben nur in sehr eingeschränkter Form gelten sollen.
(d) Barkreditaufnahme
Um Anlegern einen weiteren Anreiz zu schaffen, sollen die ELTIFs größere Barkredite aufnehmen dürfen, sodass deren Liquidität erhöht wird und den AIF-Verwaltern auch ermöglicht wird, Hebelstrategien zu verfolgen. Dabei werden Barkredite aufgenommen, die zusätzlich zu den Investments der Anleger in die Anlageklassen investiert werden. Eine solche Hebelfinanzierung (Leverage) kann durchaus einen positiven Effekt entfalten, ohne dabei unverhältnismäßig risikoreich zu sein. Daher erhöhte der Verordnungsgeber die zulässige Fremdkapitalquote von 30% auf 50% für ELTIFs, die sich (auch) an Kleinanleger richten und auf 100% bei ELTIFs, die sich ausschließlich an professionelle Anleger richten.
(e) Anlegerschutz
ELTIF sind grundsätzlich als geschlossene Laufzeitfonds gedacht. Die Möglichkeit, sich kurzfristig von seiner Investition zu trennen, widerspricht den Eigenschaften eines ELTIFs, der langfristig ausgestaltet ist. Jedoch gehört zu einem effektiven Anlegerschutz gerade für Kleinanleger, dass sich der Anleger auch wieder von seinem Investment trennen kann. Dies wird in der neuen ELTIF-VO erleichtert. Gerade Kleinanlegern muss ein gewisser Grad an Flexibilität zugestanden werden. Daher regelte der Verordnungsgeber schon in der ursprünglichen ELTIF-VO, dass ein ELTIF in seiner Satzung keine Regelungen festhalten darf, die gegen den Handel am Sekundärmarkt sprechen. Allerdings werden mit der Änderung der ELTIF-VO dem Anleger weitere Exit-Möglichkeiten eröffnet. So kann es dem AIF-Verwalter ermöglicht werden, gegenläufige Anträge (also Verkaufs- und Kaufanträge) selbst abzugleichen. Dieser Abgleich von Anträgen ermöglicht ein effektiveres Liquiditätsmanagement, das der Umsetzung der langfristigen Anlagestrategie des AIF-Verwalters dient. Dadurch kann einerseits der Wunsch von Anlegern erfüllt werden, getätigte Investments vorzeitig wieder zu veräußern und darüber hinaus kann die Nachfrage nach einem ELTIF auch nach Ende der Investitionsphase leichter bedient werden.
Weiterhin wurden dem Kleinanleger bisher große Hürden gestellt. Diese werden mit der Änderung der Verordnung aufgelöst, so muss ein Kleinanleger keine Mindestportfoliogröße nachweisen und auch keine Mindesteinlage stellen. Trotz alledem muss beachtet werden dass es sich bei ELTIF um langfristige Investitionen handelt, bei denen die Investition regelmäßig über einen langen Zeitraum gebunden sind und zusätzlich der Totalverlust droht. Um weiterhin einen ausreichenden Anlegerschutz zu gewährleisten, legt der Verordnungsgeber gesteigerten Wert auf aufsichtsrechtliche Vorgaben.
(f) Aufsichtsrechtliche Anforderungen
An Errichtung und Vertrieb eines ELTIF werden umfangreiche aufsichtsrechtliche Anforderungen gestellt, die mit Änderungen der ELTIF-VO teils erhöht wurden, betreffend den Vertrieb jedoch auch zu Erleichterungen führten.
- Zunächst ist der ELTIF zulassungsbedürftig. Es muss also, bevor der ELTIF öffentlich angeboten wird, ein Antrag auf Zulassung gemäß der ELTIF-VO bei der zuständigen nationalen Behörde gestellt werden. Die Vorgaben für das Verfahren wurden konkretisiert. Von der ESMA wird ein europäisches Zentralregister geführt, das jeden zugelassenen ELTIF erfasst, nun mit weiteren Pflichtangaben.
- Weiterhin darf der ELTIF ausschließlich von im Sinne der RL 2011/61/EU zugelassenen EU-AIF-Verwaltern verwaltet werden. Für die Verwaltung eines ELTIF ist aber neben der Zulassung als AIF-Verwalter eine weitere Genehmigung durch die für den ELTIF zuständige Behörde gemäß den Anforderungen der ELTIF-VO erforderlich.
- Der AIF-Verwalter haftet für Schäden und Verluste, die durch Verstöße gegen die Richtlinie 2011/61/EU und die ELTIF-VO entstehen.
- Der AIF-Verwalter muss einen Prospekt veröffentlichen, bevor ein ELTIF öffentlich angeboten wird, der alle relevanten den ELTIF betreffende Angaben enthält. Soll Kleinanlegern ermöglicht werden, diesen ELTIF zu erwerben, ist zusätzlich ein Basisinformationsblatt zu veröffentlichen. Zusätzlich werden weitere spezifische Anforderungen an die Verwahrstelle gestellt.
- Um weiterhin, trotz der Aufgabe der speziellen Kundenexplorationspflichten nach der ELTIF-VO, einen ausreichenden Anlegerschutz zu gewährleisten, werden umfassende Anforderungen an die vorvertragliche Beratung der Kleinanleger gestellt, die an die MiFID II (Richtlinie 2014/65/EU des Europäischen Parlaments und des Rates vom 15. Mai 2014 über Märkte für Finanzinstrumente) Anforderungen angeglichen wurden.
(g) Ausblick (Nachhaltigkeit)
Die ELTIF-VO unterliegt einer regelmäßigen Prüfung durch den Verordnungsgeber. So soll spätestens nach sieben Jahren die Kommission unter Anhörung der ESMA einen Bericht über die Wirksamkeit der nun vorgenommenen Änderungen erstellen.
Weiterhin soll nach zwei Jahren ein umfangreicher Bericht über etwaige Nachhaltigkeitsanforderungen erstellt werden. So soll entschieden werden ob eine Bezeichnung „ELTIF, die als ökologisch nachhaltig vermarktet werden“ oder als „grüner ELTIF“ oder eingeführt werden soll, und an welche Anforderungen und Beschränkungen dies geknüpft sein soll. Außerdem ist zu überprüfen, ob Investments solcher ELTIFs dann daran gebunden sein sollen, keine erhebliche Beeinträchtigung im Sinne von Artikel 2a der SFDR darzustellen.
Zuletzt soll auch überprüft werden, ob weitere Nachhaltigkeitsanforderungen verlangt werden können, ohne die fundamentalen Eigenschaften eines ELTIF zu untergraben.
Fazit
Es gilt zu beobachten, ob sich der ELTIF langfristig als ernstzunehmende Anlageklasse durchsetzen kann. Zumindest scheint durch die Änderung der Verordnung dahingehend der Weg geebnet zu sein. Auch in der Praxis werden die neuen Regelungen bereits positiv aufgenommen, so haben kürzlich verschiedene Anbieter in Deutschland die Auflegung von ELTIF angekündigt.
Zukünftig stellt der ELTIF auch weiterhin eine gute Finanzierungsmöglichkeit für nachhaltige Projekte dar, jedoch ohne darauf beschränkt zu sein. Zuletzt kann durch die Reduktion der hohen Marktzutrittshürden für Kleinanleger sichergestellt werden, dass auch KMU und Infrastrukturprojekte von der Finanzierung der Kleinanleger profitieren können und die Wirtschaftszweige eventuell weniger stark auf institutionelle Anleger angewiesen wären. Gleichzeitig wird den Kleinanlegern der Zutritt zu einer Anlageklasse ermöglicht, die zuvor den Private Equity und Venture Capital Funds sowie nach Einführung der ELTIF-VO einem lediglich überschaubaren Kreis von Kleinanlegern vorbehalten war.
